NOTICE OF PUBLIC MEETING
Notice is hereby given to all interested members of the public that the Board of Directors
of the above captioned District will hold a regular public meeting at 4121 State Hwy 6 South,
College Station, Brazos County, Texas 77845, said address being a meeting place of the District.
The meeting will be held on Thursday. May 11, 2023, at 2:00 p.m. The City Council of
College Station, Texas may or may not attend the Public Meeting. The Board shall consider
and discuss the following matters and take any action appropriate with respect to such matters:
1. Public comments;
2. Review and approve minutes of the April 13, 2023, Board of Directors meeting;
3. Receive and act upon bids for the purchase of the District's $1,750,000 Unlimited Tax
Road Bonds, Series 2023 ("Bonds"), and take the following actions related to the Bonds:
a. Adoption of an Order authorizing the issuance, sale and delivery of the Bonds;
b. Approval and distribution of Final Official Statement;
c. Approval and execution of Paying Agent/Registrar Agreement by and between the
District and The Bank of New York Mellon Trust Company, N.A.;
d. Approval of audit relative to the payment of proceeds of the Bonds, and authorize
disbursement of Bond proceeds in accordance with same;
e. Review, approval and authorizing the filing of Internal Revenue Service Form
8038-G relative to the Bonds;
f. Review and discussion of correspondence from bond counsel regarding expenditure
and investment of bond proceeds and Internal Revenue Service restrictions on same;
g. Authorize execution of an Amendment to the District's District Information Form
relative to the Bonds; and
h. Any other matters concerning the Bonds, including the approval and execution of
various documents for inclusion in the transcript of proceedings to be submitted to
the Attorney General of the State of Texas, approval and execution of various
closing documents, and authorization for Bond Counsel to approve closing on the
sale of the Bonds;
4. Engagement of auditor to audit the District's financial statements and prepare the
District's audit report for the fiscal year ending May 31, 2023;
5. Bookkeeper's Report, including authorizing the payment of invoices presented;
6. Adoption of operating budget for District's fiscal year ending May 31, 2024;
7. Approval of Unclaimed Property Report as of March 1, 2023 and authorize bookkeeper
to file Report with State Comptroller prior to July 1, 2023;
8. Tax Assessor/Collector's Report;
9. Engineering Report, including:
a. Authorizing the design and/or advertisement for bids for construction of facilities
within the District, approving of related storm water plans, including:
1) Status of design of Midtown City Center, Phase 406;
b. Authorizing the award of or concurrence in award of contracts for the construction
of facilities within the District, authorizing acceptance of TEC Form 1295, and
approval of any storm water permits;
c. Status of construction of facilities to serve land within the District, including the
approval of any pay estimates and/or change orders and authorize acceptance of
Form 1295, including:
1) Midtown Subdivision Phases 109 and 112 by Greens Prairie Investors, Ltd.;
2) Midtown City Center, Subdivision Phase 404A by Terra Bella Construction,
LLC;
d. Acceptance of site and/or easement conveyances for facilities constructed or to be
constructed for the District, and acceptance of facilities for operation and
maintenance purposes;
e. Status of acceptance by the City of streets for maintenance; and
f. Approval and execution of (i) preliminary plat application for Midtown City
Center Subdivision, (ii) final plat application for Midtown City Center Subdivision
406A, and (iii) plat for Midtown City Center Subdivision 404A;
10. Developer's Report;
11. Attorney's Report, including status of City's response for re -appointment of Directors
to the Board of Directors of the District; and
12. Matters for possible placement on future agendas.
