Dear Mayor,
On Tuesday,December 14, 2010 the Brazos County Coma.issioners Court approved my request
to terminate the Interlocal Agreement between Brazos Cour_ty and the City of Bryan to provide
the Bryan Public Library with a LexisNexis subscription for use by its patrons.
Therefore, as provided for in Article II of that Interlocal Agreement, I am giving the City of
Bryan a thirty (30) day notice of our intention to discontinue this service.
I have enclosed a copy of the ILA for your reference. If yoi have any questions please do not
hesitate to contact me.

COUNTY OF BRAZOS § \
THIS AGREEMENT, made and entered into this ,,. ��r day of-February, 2006, by and
between BRAZOS COUNTY, TEXAS, a political iibdivision of the State of Texas,
("COUNTY") and THE CITY OF BRYAN, TEXAS ("CITY") pursuant to the Texas
Interlocal Cooperation Act, Texas Government Code, Chapter 791.

WITNESSETH: •
•
WHEREAS, the• COUNTY and the CITY are authorized to enter into interlocal
cooperative agreements,pursuant to Chapter 791 of the Texas Government Code; and
- WHEREAS, the COUNTY and the CITY find that it is mutually beneficial for the
• COUNTY and the CITY to enter into an agreement whe i*'eby the COUNTY shall provide one
subscription to LexisNexis, an online legal research tool , for the citizens of Brazos County
through the Bryan Public Library.
NOW, THEREFORE,the undersigned parties here3y agree as follows:
I.
Commencing on February 1,2006 and terminating on September 30, 2006,the COUNTY
shall provide the username and password to one LexisNex Ls account purchased by the COUNTY
for the purpose of providing the general public access to a legal library. This contract shall renew
annually on October 1 each year and shall be effective for a period of one year, provided that the
annual operating budget of the COUNTY includes funding for continuation of the LexisNexis
subscription.
II.
CITY, for arid in consideration of the services 'to be provided by COUNTY, hereby
agrees provide online access to the LexisNexis account to the patrons of the Bryan Public
Library during the normal operating hours of this library.

The COUNTY acknowledges that the access granted to the library patrons stated above
• fairly compensates it for the service it is to provide pursuant to this Agreement.

• Each of the parties to this agreement agrees to 1191d the other harmless for any and all
claims of whatsoever nature or kind that may arise as a result of that party's fulfillment of this
agreement.
Either party to this Agreement shall have the right to terminate this Agreement, without
cause, upon thirty (30) days written notice of such teimination. Should the Agreement be
terminated, CITY agrees to discontinue use of or granting access to the LexisNexis account.
This agreement may be modified or amended in writing by the mutual consent of the
parties with said modification being attached to and inc)rporated into this agreement by this
reference for all purposes.

This Agreement may be executed in multiple countrrparts,each of which shall be
deemed an original and all of which shall constitute one and the same instrument.
This Agreement shall be effective when signed by he last party whose signing makes the
Agreement fully executed.
