AN ORDINANCE APPROVING THE ASSIGNMENT OF THE FRANCHISE
AGREEMENT FOR COMMUNITY ANTENNA TELEVISION (CATV) SERVICES
FROM COOKF CABLEVISION, INC., TO TEXAS TELECABLE, INC.
BE IT ORDAINED 2Y THE CITY COUNCIL OF THE CITY OF COLLEGE
STATION, TEXAS:
WHEREAS, Cooke Cablevision, Inc., the present holder of the
Community Antenna Television (hereinafter "CATV") franchise
rights throughout the City of College Station, has notified
the City of the transfer of the local Community Antenna
Television System from Cooke Cablevision, Inc., a Nevada
Corporation (hereinafter referred to as "Cooke"), to Texas
Telecable, Inc., a Texas Corporation (hereinafter "Tele-
cable"), which is a subsidiary of TCA Cable TV, Inc.,
WHEREAS, Cooke is currently operating the local CATV system
in compliance with Ordinance No. 1546, as amended, and is
not in default of said Franchise Agreement with the City of
College Station;
WHEREAS, it appears to the City Council of the City of
College Station that Telecable is financially, legally and
organizationally capable of owning the local CATV system
and that it will continue to own, operate and maintain the
system in conformity with Ordinance No. 1546, as amended;
NOW, THEREFORE, the City of College Station hereby acknowl-
edges that the existing Franchise is valid and in full
force, and approves and consents to the assignment of the
local CATV Franchise Agreement from Cooke Cablevision,
Inc., to Texas Telecable, Inc., with the further right of
Cooke to assign its interests under the franchise for secu-
rity purposes only to such financial institutions as may be
selected by Telecable to finance the acquisition of the
local CATV system from Cooke.
This ordinance shall be effective only upon the completion
of the contemplated sale of Cooke to Telecable and if such
sale is not consummated, this ordinance shall be of no
force or effect whatsoever.

Telecable by its signature hereon, agrees to exercise its
control of the local CATV franchise in accordance with the
terms and conditions of Ordinance No. 1546, as amended, and
this Ordinance, which are accepted in full.
