PROPERTY: Temporary construction and access easement estate in, over and across
all those three certain tracts or parcels of land lying and being situated in
the Morgan Rector League, Abstract No. 46, in College Station, Brazos
County,Texas, as described by deed recorded in the Official Records of
Brazos County, Texas, said tracts being more particularly described in
the attached Exhibits D, E and F.

portion as to that
of the above-described property particularly
E and F,known as the"Construction Area",which area is necessary for the construction of the
drainage easement located adjacent thereto.
It is further understood and agreed that the construction easement shall exist from the date
construction begins on this project until completion of the project or June 30, 1996, whichever
occurs first. It shall thereafter be deemed terminated.
It is also agreed that the expiration of this construction easement shall not affect the
GRANTEE'S right to utilize the drainage tract purchased in fee simple from GRANTOR as set
out in Exhibits A, B and C attached hereto.
GRANTOR expressly subordinates all rights of surface use incident to the mineral estate that it
owns to the above described uses of said surface by GRANTEE.
GRANTEE, at its sole expense, expressly agrees to return the construction easement area to
its original condition,or as close thereto as is reasonably possible.
During the existence of this Temporary Construction Easement, it is expressly understood that
the GRANTOR or future Owners of this property reserve the right to use this construction
easement for all purposes which do not interfere with or prevent its use by the GRANTEE.
TO HAVE AND TO HOLD the rights and interests herein described unto the CITY OF
COLLEGE STATION, TEXAS, and its successors and assigns, forever, and GRANTOR does
hereby bind herself, her"heirs and administrators, to warrant and forever defend, all and
singular, these rights and interests unto the CITY OF COLLEGE STATION, TEXAS, and its
successors and assigns,against every person whomsoever lawfully claiming,or to claim same,
or any part thereof,when the claim is made by,through or under GRANTOR but not otherwise.

PROPERTY: A permanent easement estate in all those three certain tracts or
parcels of land, lying and being situated in the Morgan Rector League, in College
Station, Brazos County, Texas, totaling .5306 acres, conveyed to CSL of Texas, Inc.,
as described by deeds recorded in the Official Records of Brazos County,Texas, said
tracts being more particularly described in the attached Exhibits"A", "B", and"C"; pro-
vided, however, that this conveyance shall grant the rights herein specified only as to
that portion of the above-described property and any additional area outside the ease-
ment area necessary to install and attach equipment necessary and incident to the
uses of the Easement Area to construct, install, and thereafter use, operate, inspect,
repair,maintain,reconstruct,modify and remove the following:

Storm sewers and collection facilities;
Drainage ditches,drainage pipes and all other drainage
structures,surface and subsurface;

roads, or alleys abutting same; and to cut, trim, and control the growth of trees and
other vegetation on and in the easement area or on adjoining property of GRANTOR,
