WHEREAS, BUYER has purchased property from SELLER for use as a drain- age channel and temporary construction easement pursuant to a real estate contract dated May a,4 ,1994; and WHEREAS, as part of the consideration for the purchase of the above-refer- enced, BUYER has agreed to construct certain improvements on SELLER's property; and WHEREAS, the property upon which the improvements shall be constructed is more particularly described in Exhibit "A" attached hereto and incorporated herein by reference; and WHEREAS, said improvements mutually agreed upon by the parties are set out in this agreement which agreement shall survive closing on the property. NOW THEREFORE, the parties hereby agree as follows: 1. At STA. 16+79 on BUYER's construction plans for the Sebesta Road project, the proposed six inch (6") line shall be increased to an eight inch (8") line and an eight inch (8") cross with an eight inch by six inch (8" x 6") reducer shall be added. The reducer will connect back to the existing six inch (6") line that currently crosses SELLER's property. The eight inch (8") line will be sufficient to enable SELLER to connect two (2) eight inch (8") lines for future development on SELLER's property. 3. BUYER agrees to allow SELLER the option of having BUYER issue a change order to its construction contract on Sebesta Road to include the installation of a sanitary sewer line across Sebesta Road to a point in the right-of-way adjacent to SELLER's property approximately one hundred feet (100') west of the intersection of Foxfire Drive and Sebesta Road. BUYER agrees to manage the construction of same. The aforesaid option shall be subject to the following terms and conditions: a. SELLER, at its sole cost and expense, submits an "impact study" to the City of College Station and obtains approval thereof by the City Engineer on or before October 1, 1994, or the commencement of construction of the Sebesta Road Project by BUYER, whichever occurs later. b. SELLER, at its sole cost and expense, submits a "site plan" for the subject property and obtains approval thereof by BUYER on or js/c/may94/cslagree 05/24/94 X S 4 a • i, � L before October 1, 1994, or the commencement of construction of the Sebesta Road Project by BUYER, whichever occurs later. c. The sewer line shall be sized in accordance with the approved impact study. d. SELLER's failure to obtain an approved site plan and impact study on or before October 1, 1994, , or the commencement of construc- tion of the Sebesta Road Project by BUYER, whichever occurs later, shall terminate SELLER's option and BUYER's obligation to issue a change order to its construction contract. Thereafter, the extension of sewer service on SELLER's property shall be SELLER's sole responsibility and at SELLER's sole expense. e. BUYER's representative shall notify SELLER in writing of the cost of construction of the sewer line. SELLER shall remit payment for same to BUYER's representative within ten (10) working days of receipt of said notification. Upon receipt of payment from SELLER, BUYER shall commence construction of said sewer line within a reasonable time thereafter. SELLER's failure to remit payment within ten (10) days shall terminate SELLER's option and BUYER's obligation to construct said sewer line and manage same on SELLER's behalf. 4. It is understood and agreed by the parties to this contract that all improvements shall be installed during the reconstruction and upgrade of Sebesta Road by BUYER. 5. Venue. This contract has been made under and shall be governed by the laws of the State of Texas. The parties agree that performance and all matters related thereto shall be in Brazos County, Texas. 6. The parties hereby state that they have read the terms of this agreement and hereby agree to the conditions contained herein. 7. No waiver by either party hereto of an term or condition of this agreement shall be deemed or construed to be a waiver of any other term of condition or subse- quent waiver of the same term or condition. 8. BY: or "artz- ='. kins, Secretary Ron Ra•i=nd, City Manager - 2 - js/c inay94/cslagree 05/24/94 af C 711111AMENDMENT NO. 1 TO CONSTRUCTION AGREEMENT This agreement amends the construction agreement dated May 24, 1995 entered into by and between the CITY OF COLLEGE STATION, TEXAS, hereinafter referred to as "BUYER" and CSL of Texas, Inc. hereinafter referred to as "SELLER". WHEREAS, by letter dated February 6, 1995, CSL requested an amendment of the May 24, 1994 construction agreement. A copy of the letter is attached hereto as Exhibit "B" and incorporated herein by reference. NOW THEREFORE, the parties hereby agree to amend the aforementioned agreement as follows: 1. Paragraph 1 is deleted in its entirety. 2. The following paragraph is substituted for paragraph 1: SELLER shall pay for the actual cost of all materials and labor for the installation of the 12" C-900 water crossing as per the proposal from Young Contractors, Inc., attached hereto as Exhibit "A" and incorporated herein by reference. The location of the water crossing underneath Sebesta Road shall be at STA16+92.5 on the BUYER's construction plans for its Sebesta Road Project. BUYER agrees to provide construction management for the project for SELLER at no additional cost to SELLER. SELLER shall remit payment in full for the above construction project to BUYER's representative upon execution of this agreement. 3. All other terms and provisions of the original agreement remain unchanged and in full force and effect and are incorporated herein by reference. SIGNED this the 1-3 (--1) day of m A , 1995.
