POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:
That I, A.Y. Majors of Brazos County,
Texas, do make, constitute and appoint Phillip B. Kirk_ my
true and lawful attorney for me and in my name, place and stead, to OFFER and
REQUEST the rezoning of the real property, or any part thereof, in Brazos County,
Texas, more particularly described as:
See Exhibit"A" attached hereto and incorporated by reference herein.
On such terms and conditions as it shall deem proper, with the further power, in
my behalf, to do all the things and sign all other documents necessary to complete the
rezoning of said property.
Given end granting unto said attorney full power and authority to do and perform
every act necessary and proper to be done in the exercise of any of the foregoing power
as fully as I might or could do if personally present, with the full power of substitution and
revocation hereby notifying and confirming all that my said attorney shall lawfully do or
cause to be done by virtue hereof.
I agree and represent to those dealing with said attorney or its substitutes that
this power of attorney may be voluntarily revoked only by revocation entered only of
record in the County Clerk's office of Brazos County, Texas.
This power shall not terminate on the disability or incompetency of either the
principal or the attorney.
