CONFERENCE CENTER AGREEMENT
This is a licensing agreement, made and entered into this day by and between the City of College Station, Texas, a political subdivision of this state of Texas,
hereinafter called Licensor, acting by and through its duly authorized Conference Center Supervisor, and group /persons named above.
Herein after called Licensee, is as follows:
1. That, upon the terms and conditions herein expressed and in consideration of the covenants and agreements herein expressed, Licensor does hereby give
unto Licensee a license to use and occupy the following described space and premises located in the Conference Center, 1300 George Bush
Drive, City of College Station, Brazos County, Texas 77840 (979) 764 -3720, to -wit:

To be used for the purpose of outlined above &- -.: for no other purpose without the written consent of Llot:sor together with the right of access to such
premises from the time specified above for a reasonable time before and after said period for the purpose of putting equipment for use, rehearsal and
packing up and removing equipment afterward. Licensee agrees that In the event It has not vacated the premises and removed all property,
equipment and supplies by the expiration of the final time set forth above, a penalty fee will be charged upon discretion of supervisor.
2. Licensee hereby agrees to pay to Licensor, at its office at the Conference Center, for the use of said premises as aforesaid, the sum agreed apon payable
as follows: cash, check, or money order upon execution of this agreement, plus all required charges set forth In Licensor's schedule of fees and charges for
additional services, accommodations or materials furnished to or loaned to Licensee. Licensee acknowledges a receipt of a copy of the schedule of fees
and charges and covenants that It is bound thereby.
3. Licensee agrees to deposit with Licensor as a deposit for the above premises the sum agreed upon the disposition of which shall be governed by the
rules and regulations governing the Conference Center. Licensee acknowledges receipt of a copy of the rules and regulations governing the Conference
Center and agrees and covenants to be bound by the terms thereof. .

4. Licensee shall have the use of the premises for the purposes and term aforesaid, including corridors necessary to accommodate patrons, along with
restrooms customarily open to the general public.
5. Licensor will furnish, at its expense, all utilities necessary for operation of the Conference Center and all janitorial service deemed necessary by Licensor.
Licensor shall not be responsible for any loss resulting from lack of heat, water, or lights in the absence of negligence.
6. Licensor reserves the right at all times to control the ushers, gate men, ticket takers and all other employees of Licensee, and the right to remove from the
premises any and all such employees of Licensee and the right, through its officers and agents, including police officers, to eject any objectionable person
or persons from the building and premises. In the event of the exercise of this authority, Licensee hereby waives any and all claims for damages against
Licensor, its officers and employees on account thereof.
7. In case the premises or the building of which the premises are a part shall be destroyed by fire or other cause, or if any other casualty or unforeseen
occurrence or other causes shall render the fulfillment of this agreement by Licensor impossible, then the term of this agreement shall end and Licensee
shall be liable to pay for the use of the premises only up to the time of such termination, and Licensee hereby waives and releases any claim for damages
or compensation on account of such termination.
8. The right or permission to use said premises is exclusive to groups /persons named above except that the City through its Center Supervisor, peace
officers, or other designated representatives, shall have the right at anytime to enter any portion of the premises for any purpose whatsoever, and the
entire building, including the premises covered by this agreement, shall at all times be under the charge and control of the Center Supervisor.
9. No gasoline, oil, flashlights, or any other artificial lighting, light plant or electrical equipment shall be permitted in the premises, and no engine, motor or
machinery shall be operated on the premises without the prior written consent of the Center Supervisor.
10. Licensor reserves the right after the termination of the time for which the premises are rented to remove from the building all personal property remaining
therein and to store the same wherever it sees fit In its name, or, at its option, in the name of Licensee, but at the cost, expense and risk of Licensee.
Licensor shall not be liable in any way to Licensee on account of so removing and storing such personal property.
11. Licensee agrees to and shall indemnify and hold harmless CITY, its officers, agents and employees, from and against any and all claims, losses, damages,
causes of action, suits and liability of every kind, attorney's fees, for injury to or death of any person, or for damage to any property, arising out of or in
connection with the use of the premises by Licensee, its agents, representatives, assigns, invitees, and participants under this contract. Such indemnity
shall apply where the claims, losses, damages, causes of action, suits or liability arise in whole or in part from the negligence of city.
12. Neither the corridors, passageways, nor exits shall be obstructed by Licensee, nor shall they be used for any purpose other than ingress or egress, except
as approved by the Center Supervisor.
13. Licensee agrees to comply with all laws of the United States, the state of Texas, all ordinances of the city of College Station, Texas, and all rules and
regulations adopted by the City Council of the City of College Station, Texas, governing the use of the Conference Center. Licensee agrees to obtain and
pay for any and all necessary permits and licenses.
14. Licensee will not post, exhibit or allow to be posted or exhibited, any signs, advertisements, show bills, lithographs, posters or cards of any description,
inside or outside or any part of the building, except as authorized by the Center Supervisor. Licensee agrees to immediately remove all signs,
advertisements, show bills, or other materials which are objected to by the Center Supervisor.
15. Licensee shall not admit to the premises a larger number of persons than the seating capacity thereof. The determination of the Center Supervisor on this
question shall be final.
16. The right to use the premises may not be assigned.
17. Licensee accepts the building, its fixtures and equipment, in their present condition and state of repair. All repairs and replacements required to return the
building and Its furnishings, fixtures and equipment to their present condition will be at the expense of Licensee upon demand by Licensor.
18. Licensee does not hereby acquire a right to any of the concessions located upon the leased premises, and the right to operate concessions is hereby
reserved Licensor and Its assigns unless such right has been specifically granted to Licensee in writing.
19. Licensor reserves all rights and privileges for outgoing television and radio broadcasts originating from the Conference Center during the term of this
agreement. Should Licensor grant to Licensee such a privilege, Licensor has the right to require advance payment of any estimated related cost to
Licensor and may also require payment for said privilege in addition to rental fee. The grant of such privilege must be in writing, and obtained from the

20. Licensee shall not install any wire, electrical appliances, plumbing fixtures or pipes without first securing the written consent of the Center Supervisor
21. Licensee agrees to pay reasonable attorney's fee on any amount payable by it under any part of this agreement which must be collected by judicial
proceedings.
22. All users shall return the facilities in the same condition as when received, except that the Center will provide normal clean -up services. Users will be
responsible for cleaning up any areas which, as a result of user use, will require excessive clean -up. Before leaving the premises after the event, user or
users agent will remove any litter in the Center parking lot deposited by user and dispose of that litter in an approved depository.
23. This license is revocable at any time upon good cause.
All events must abide by the City of College Station Policies, Rules and Regulations, Deposit, Fee Schedule and Contract Agreement as set for the
use of the College Station Conference Center. Note- Some of the Policies, Rules and Regulations include:
Room cannot be used unless all pages of the Contract Agreement have been signed and returned prior to the event. Monday -Friday 8AM -5PM. -See
Section 2.1 of Policies
Clients will not be allowed to occupy the room(s) prior to open door time(s) or stay later than the contracted period.

Prices quoted on this Contract Agreement do not include the costs of any extra property rentals See Section F. Property Rental of Fee Schedules
After set -up is completed, charges for changes will be $20.00 -See Section 8.2 of Policies
Cancellation: The deposit paid to reserve the space is retained if event is cancelled less than 60 days prior to the event.
See attached policies, Sect. 17, concerning other cancellation policies.
"LICENSEE TAKES RESPONSIBILITY TO VERIFY THAT THE ATTACHED POLICIES, RULES AND
REGULATIONS ARE ADHERED TO." -See Section 20:1 of Policies
