RE: Lease of Telecom Space
Dear Mr. Pital,
My name is Wanda Kielty, Site Acquisition Manager with General Dynamics, and in the late summer, early
fall of 2002, Dave Smith and myself where in negotiations with you regarding leasing space for Verizon
Wireless's Telecommunications facilities on your hotel, The Holiday Inn.
At that time, we were getting close to coming to terms with our lease language when it was decided that
you no longer wanted to enter into this agreement. I would like to give a little overview of the lease terms
and gauge your interest today.
Term — First five (5) years, rent to be at $1,200 per month, $14,400 per year, with four (4) five
(5) year renewals with rent escalation at 3% per term.
Additional Extensions — If at the end of the fourth (4 five (5) year extension term this
Agreement has not been terminated by either Party by giving to the other written notice of an
intention to terminate it at least three (3) months prior to the end of such term, this Agreement
shall continue in force upon the same covenants, terms and conditions for a further term of five
(5) years and for five (5) year terms thereafter until terminated by either Party by giving to the
other written notice of its intention to so terminate at least three (3) months prior to the end of
such term. Annual rental for each such additional five (5) year term shall be equal to the 115%
of the annual rental payable with respect to the immediately preceding five (5) year term.
Right of First Refusal — If the Lessor during the lease term or any extension of the lease term
elects to see all of any portion of the Property, whether separately or as part of the larger parcel
of which the Property are a part, the Lessee shall have the right of first refusal to meet any bona
fide offer within thirty (30) days after notice thereof from Lessor, Lessor may sell the Property
or portion thereof to such third person in accordance with the terms and condition of his offer.
For purposes of this Paragraph, any transfer, bequest or devise of the Lessor's interest in the
Property as a result of the death of the Lessor, whether by will or interstate succession, shall
not be considered a sale of the Property for which the Lessee has any right of first refusal.
Rights Upon Sale — Should the Lessor, at any time during the term of this Agreement, decide to
sell all or any part of the Property to a purchaser other than Lessee, such sale shall be under and
subject to this Agreement and Lessee's rights hereunder.
Environmental — Lessor will be responsible for all obligations of compliance with any and all
environmental and industrial hygiene laws, including any regulations, guidelines, standards, or
policies of any governmental authorities regulating or imposing standards of liability or

standards of conduct with regard to any environmental or industrial hygiene conditions or
concerns as may now or at any time hereafter be in effect, that are or were in any way related to
activity now conducted in, on, or in any way related to the Property, unless such conditions or
concerns are caused by the activities of the Lessee.

Description of Design Plan
This site, Brazos, site # 04055450007, being located at 1430 Texas Avenue South, is to
provide Verizon Wireless additional capacity as well as new coverage within the City
limits and ETJ of College Station. This site will serve to support Verizon Wireless's
growing customer base in this area as well as provide for new technology that is currently
being used in this market.
This site will be a stealth light pole on the garage rooftop of the Retail Properties Group,
strip center facility. The antennas being used at this stealth site will be the Unicell 20,
which is designed to provide superior RF performance as well as provide for a "zoning
friendly" package design..
Verizon Wireless must utilize a regular or normal cell site design at this location because
this site is both for coverage as well as for capacity. The typical coverage for PCS is 2
miles and for cellular it is 2.5 miles. if Verizon were to utilize microceil or minicell
technology, it would only provide for coverage of %Z mile or less. And, if microcells or
minicells were to be used at this location it would require approximately 18 to 20 and
would be cost prohibitive, not to mention very unsightly.
The anticipated traffic will be from the Texas Avenue street as well as the surrounding
residential neighborhoods. There are several technicians who will be responsible for
servicing this site. They will, on occasion, have to come to the site to perform system
performance tests as well as maintain the facility, during the maintenance window time of
midnight to 5 am, or when it is deemed necessary.

1. "My name is Sharon C. Beck. I am over the age of 18, I have never been
convicted of a felony, and I am fully competent to make this affidavit. I have
personal knowledge of the facts and statements contained herein and they are all
true and correct. I am employed by Verizon Wireless ( "VZW ") as a Real Estate
Implementation Manager, and I have personal knowledge of the facts stated
herein, which facts are true and correct.
2. "I am authorized to supervise independent site acquisition contractors (the
"Contractors ") hired by VZW to research and locate acceptable
telecommunications sites to service certain geographic areas.
3. "VZW's radio frequency engineers have identified an area near the intersection of
Old State Hwy 6 and George Bush Drive, College Station, Texas, where the
existing radio frequency coverage is less than minimum acceptable quality and
suffers from significant gaps in wireless service. Standard business practice by
VZW, and my instructions from VZW's radio frequency engineers, were to find a
location within or as near as possible to this area that either (i) had an existing
structure suitable for the location of VZW's telecommunications equipment or (ii)
would allow for the construction of a structure upon which VZW could attach its
telecommunications equipment. VZW engineers have conducted radio frequency
studies of the area surrounding this intersection, and have determined that a
proposed wireless communications facility site atop a parking garage located at
1430 Texas Avenue South, College Station, Brazos County, Texas, 77840 (the
"Proposed Site ") would meet VZW's radio frequency coverage and capacity
objectives in the area. A one -half mile radius from the Proposed Site is noted on
Exhibit "A" attached hereto and incorporated herein (the "Search Ring ").
4. "Prior to making this determination, in accordance with the City's (as defined
herein) requirements and at VZW's request, the Contractors conducted an
exhaustive research of the geographic area in and around the Search Ring in an
effort to locate a suitable existing site for the installation or collocation onto a
tower or antenna support structure for VZW's telecommunications equipment.

5. "In the course of their work, the Contractors typically begin their research by
investigating the zoning of the applicable municipality. They conduct a thorough
search for existing structures with landowners who are willing to enter in to a
lease with VZW pursuant to terms acceptable to both the landowners and VZW. If
they are unable to find a workable solution utilizing existing communication
towers or structures, only then do they begin searching for a building on which to
install telecommunications equipment. The Contractors followed these procedures
with respect to the Search Ring for this site.
6. "During the initial search of the geographic area in and around the Search Ring,
the Contractors determined that there were possible existing sites or support
structures within the Search Ring that might be viable for the placement of VZW's
equipment (see Exhibit "A" attached hereto for their relative locations). However,
none the sites identified were viable solutions due to unavailability of such site or
inability to agree on terms acceptable to both landowners and VZW. Following
are the sites identified:
(a) an existing "stealth" telecommunications tower located within the Search
Ring owned and operated by Sprint (FCC #1234544), having an address of 205
Dominik Road. In 2002, the Contractors approached Sprint about the collocation
of VZW antennas onto their tower. VZW engineers determined that, in order to
accommodate VZW's antennas, the Sprint tower would have to be extended from
84' to 110'. VZW submitted its application to the City of College Station (the
"City ") which required the tower to be and remain "stealth ", and went to a zoning
hearing. However, the City felt like there was a substantial amount of pressure
from surrounding land owners and that to extend the tower would, in their
opinion, make the tower "non- stealth ". For this reason, VZW's request was
denied,
(b) an existing elevated water tower located within the Search Ring owned
and operated by the City (FCC #1236521), located on Park Place Road. In 2002,
the Contractors approached the City about the collocation of VZW antennas onto
their water tower. Per correspondence from the City, dated June 18, 2002, and
attached hereto as Exhibit "B ", the City advised VZW it is not their policy to
allow wireless communication antennas on their elevated water storage facilities;
(c) an existing building located within the Search Ring owned and operated
by the College Station Independent School District (the "CSISD "), located at
Oakwood Elementary School on 106 Holik Drive, College Station, Texas. In
2003, the Contractors approached the CSISD about the placement of a stealth
telecommunications tower on their property. Per correspondence from CSISD,
dated July 7, 2003, and attached hereto as Exhibit "C ", CSISD advised VZW it
was not interested in pursuing discussions regarding the placement of a
telecommunications tower on their property;
(d) an existing Clarion hotel located within the Search Ring owned and
operated by Texas Hotel Management, LP (the "Hotel Owner "), being at 1203
Texas Avenue South, College Station, Texas. The Contractors approached the

Hotel Owner in 2002 and the Contractors were told that the Hotel Owner would
not negotiate a business deal with VZW due to the Iraq War. A certified letter
dated June 21, 2005, and attached hereto as Exhibit "D ", was sent to the Hotel
Owner to determine if any interest currently exists. The Hotel Owner has since
informed the Contractor the terms of a lease could not be worked through
(e) an existing Ramada Inn also owned by Hotel Owner and located at 1502
Texas Avenue South, College Station, Texas. This site is outside the Search Ring,
but has the same owner as the Holiday Inn and the Clarion Hotel, so was
considered. However, VZW's RF engineers rejected this site in 2001 and 2002
since the building was too short to meet VZW's height requirements
(f) an existing "stealth" 75' telecommunications tower located within the
Search Ring owned and operated by Sprint, located at the Grace Bible Church on
700 Anderson St. This site is a single carrier stealth pole and VZW's engineers
rejected the site since it was too short to meet VZW's height requirements.
7. "Based on exhaustive research in and around the Search Ring, I can say
unequivocally that the Proposed Site is the only available site to VZW to meet its
pressing radio frequency coverage needs in the vicinity of the Proposed Site. The
Contractors have made diligent, but unsuccessful, efforts to obtain permission to
install or collocate the new VZW facility on existing towers or antenna support
structures located within the Search Ring."

Station, Brazos County, Texas, 77840 (the "Proposed Site "). VZW's radio
frequency engineers have determined that this site would meet VZW's radio
frequency coverage and capacity objectives in the area of the Proposed Site. My
instructions from VZW's radio frequency engineers were to find a location within
or as near as possible to the Search Ring that either (i) had an existing structure
suitable for the location of VZW's telecommunications equipment or (ii) would
allow for the construction of a structure upon which VZW could attach its
telecommunications equipment.

Dear Mr. Smith:
The proposed lease agreement for the placement of a steath cellphone tower on real estate
owned by College Station L S. D. has been presented to the Facilities Committee made
up of members of our Board of Trustees. After reviewing and discussing the agreement,
we have decided that College Station I. S. D. is not interested in pursuing further
discussions at this time with regards to the placement of a cell phone tower on CSISD
property.
