CERTIFICATIONS REQUIRED FOR ALL DEVELOPMENT
Owner Certification:
1. No work of any kind may start until a permit is issued .
2 . The permit may be revoked if any false statements are made herein.
3 . If revoked, all work must cease until permit is re-issued.
4 . Development shall not be used or occupied until a Certificate of Occupancy is issued .
5 . The permit will expire if no significant work is progressing within 24 months of issuance.
6 . Other permits may be required to fulfill local, state , and federal requirements . Owner will obtain or show
compliance with all necessary State and Federal Permits prior to construction including NOi and SWPPP .
7. If required , Elevation Certificates will be provided with elevations certified during construction (forms at slab pre-
pour) and post construction .
8 . Owner hereby gives consent to City representatives to make reasonable inspections required to verify
compliance .
9. If, stormwater mitigation is required , including detention ponds proposed as part of this project, it shall be
designed and constructed first in the construction sequence of the project.
10. In accordance with Chapter 13 of the Code of Ordinances of the City of College Station, measures shall be taken
to insure that all debris from construction, erosion , and sedimentation shall not be deposited in city streets , or
existing drainage facilities. All development shall be in accordance with the plans and specifications submitted to
and approved by the City Engineer for the above named project. All of the applicable codes and ordinances of the
City of College Station shall apply .
11 . The information and conclusions contained in the attached plans and supporting documents will comply with the
current requirements of the City of College Station , Texas City Code, Chapter 13 and associated BCS Unified
Design Guidelines Technical Specifications, and Standard Details . All development has been designed in
accordance with all applicable codes and ordinances of the City of College Station and State and Federal
Regulations .

sheet shows lines that are not dimensioned and areas that do not have callouts . For
example please label common areas 3 and 4 and lines along Mills Park Circle .
5. Please note that any changes made to the plans , that have not been requested by the City
of College Station, must be explained in your next transmittal letter and "bubbled " on your
plans .

ARTICLJ:I
DEFINITIONS
1.01 Definition$. As used in this Agreement, the following terms nave the following
mean ings:
"Affiliate'' means, with reference to any person. any other person controlling , controlled by
or under direct or indirect common control with such person . I
"Agreement" means this Company Agreement. as amended from time to time.
'
"Assignee" means a pe~n who receives a Transfer of all or a portion pf the Membership
Interest of a Member, but who has not been admitted to the Company as a Merpber.
"Bankrupt Member'' means (except to the extent a Simple Majority consents otherwise)
any Member (a) that (Q makes an assignment for the benefit of creditors ; (\i) files a votuntary
bankruptcy petition; (!ii} becomes the subject of an order for relief or is declarf,d insolvent in any
federal or state bankruptcy or tn sotvency proceedings; (iv) files a petition or answer seel<ing for
th e Member a reorganitation, arrangement. composition, readjustment. liquil:ration, ssolution.
terminatiQn, or similar relief under any law; {v) files an answer or other pleading) admitting or fa ling
to contest the material allegations of a petition filed against the Member in al Proceecfin9 of the
type described in subclauses {i) through (iv) of this clause (a): or (vi} see s. consents to. or
acquiesces in the appointment of a trustee. receiver, or liquidator of the Membf3r's or of all or any
substantial part of the Membets properties ; or (b) against wh ich a Ptoceecling seeking
reorg aniZation. arrangement, composition, readjustment , liquidation, dissolution, or similar relief
under any law has been commenced and one hundred twenty (120) days 11ave expired without

DISPOSITION WILL NOT VIOLATE APPLICABLE FEDERAL OR STATE SECURI ES LAWS . THE
OWNERSHIP INTERESTS THAT ARE THE SUBJECT OF THIS COMPANY A REEMENT ARE
SUBJECT TO RESTRICTIONS ON THE SALE , PLEDGE, TRANSFER, OR OTHER ISPOSITION AS
SET FORTH IN THIS COMPANY AGREEMENT .
19.02 Notice to Members . By executing this Agreement , each Member ac nowledges that it
has actual notice of all of the provisions ·Of this Agreement , including, without limitation, the restrictions .on
the transfer of Membersh ip Interests set forth in thi s Agreement , and all of the provision of the Certificate
of Formation. Except as otherwise expressly provided by law, each Member hereb agrees that this
Agreement constitutes adequate notice of any notic e requirement under Chapter of the Uniform
Commercial Code, and each Member hereby wa ives any requirement that any further notice th'ereunder
be given .
19.03 Limitation of Liability. Pursuant to Article 581-1 et seq . of the T xas Revised Civil
Statutes (the ·1exas Securities Act "), the liability under the Texas Secur ities Act of a I ,wyer, accountant,

co. nsultant, the firm of any of the foregoing. and any other person engaged to provide *rvlces relating to
an offering of seconties of the Company {"Service ProViders") is limited to a maximum f three time$ the

Owner Certification:
1. No work of any kind may start until a permit is issued.
2. The permit may be revoked if any false statements are made herein .
3. If revoked, all work must cease until perm it is re-issued.
4 . Development shall not be used or occup ied until a Certificate of Occupancy is issued .
5. The permit will expire if no significant work is progressing with in 24 months of is suance .
6. Other permits may be required to fulfill local , state, and federal requirements. Owner will obtain or show
compliance with all necessary State and Federal Permits prior to construction including NOi and SWPPP .
7. If requ ired, Elevation Certificates will be provided with elevations certified during construction (forms at slab pre-
pour) and post construction.
8. Owner hereby gives consent to City representatives to make reasonable inspections required to verify
compliance ,
9. If, stormwater mitigation is required, in cluding detention ponds proposed as part of this project, it shall be
