CERTIFIED RESOLUTIONS
AND CERTIFICATE OF INCUMBENCY
I, Clay McDaniel, Manager of BKXL Management, LLC, do hereby certify the
following:
1. BKXL Partners No 2, Ltd. ( "BKXL ") is a Texas limited partnership.
2. BKXL MANAGMENT, LLC (the "General Partner ") is a Texas limited liability
company and is the sole general partner of BKXL.
3. The General Partner has the sole and exclusive power and authority to act for and
on behalf of BKXL on all matters.
4. Richard Rainer is the duly appointed and an acting Manager of the General
Partner.
5. Richard Rainer, in his capacity as Manager of the General Partner, has been
authorized and empowered by all necessary action by the members and/or managers of the
General Partner to act for and on behalf of the General Partner, for itself and as the general
partner of BKXL, to purchase real estate, to grant servitudes over or affecting any real estate, to
borrow money and to grant a mortgage, assignment of leases and rents and other security
interests in or affecting any real estate.
6. Richard Rainer, in his capacity as Manager of the General Partner, is further
authorized on behalf of the General Partner, for itself and as the general partner of BKXL , to
enter into any and all documents, instruments and agreements that he deems necessary or
advisable to effectuate these transactions, including without limitation one or more Acts of Sale,
servitudes agreements, notes, mortgages and assignments of leases and rents, all of which
documents, instruments and agreements may contain terms and provisions that he deems
necessary or advisable, including without limitation a confession of judgment, waiver of appraisal,
consent to foreclosure by executory or ordinary process or any other provisions customarily
included in a Louisiana security instrument.
IN WITNESS WHEREOF, I have signed this Certificate on this 23rd day of
