Easement Property That-certain property described in Exhibit "A ", attached hereto and made a
part hereof for all purposes.
Easement Purpose: Ingress and egress by vehicular traffic, including any emergency vehicles.
NOW, THEREFORE, in consideration of the premises and the sum of TEN AND NO /100
DOLLARS ($10.00) in hand paid by Grantor, and other good and valuable consideration, the
receipt and sufficiency of which are hereby acknowledged and confessed by Grantee, Grantor does
hereby convey, assign, transfer and grant the private easement (the "Easement ") on, over, under,
through and across the Easement Property for the Easement Purpose in common with others; it
being intended hereby to confirm, establish and transfer the rights of Grantor in and under the
private easements established by the attached Mutual Access Agreement and the attached plat as to
the property owned by Grantor and for the use and benefit of the owners ( "Grantees ") of the
properties which are contiguous to the property of Grantor and the private easements herein
described.
1. Successors. This Easement shall be binding upon and shall inure to the benefit of
the parties hereto, and their respective successors, assigns, heirs, 1egi representatives, tenants,
lessees and invitees.
2. Terms and Conditions. The following other terms and conditions shall apply to the
Easement granted hereby:
Reservation of Rights. Grantor reserves for Grantor and Grantor's successors and
assigns the right to continue to use and enjoy the surface of the Easement Property
for all purposes that do not interfere with or interrupt the use or enjoyment of the
Easement for the Easement Purposes. Grantor reserves for Grantor and Grantor's
successors and assigns the right to use all or part of the Easement and the right to
convey to others the right to use all or part of the Easement.

AGREEMENT:
NOW. THEREFORE, in consideration of the sum of Ten Dollars 010.00) paid by each party
hereto to thv other, and other good and valuable consideration. including the mutual covenants and
agreements contained herein, the parties hereby covenant. stipulate and agree a9 follows;

exclusive easement for ingtt56 and egress by vehicular traltit, including any emergency vehicles, over
and across the Easement Area (the "ErzFamenf'). The Easecucrtt shall inure to the benefit of each party,
its successors and assigns, and will be appurtenant to the TOC Property and the Gateway Property
(collectively, the ".Property"), but shall be sczTject to the offer provisions contained in this Agreement,
including those contained in Section 2 below.
2. Restrictions. Tire following restr ictions apply to the Essemcnt
a_ The Easement dots not include vehicular partcing rights within the Easement
Area. lemated on a petraaular party's reopen-1y, and esah party will use reasonable efforts to prevent
its permittees from pinking within an - portion of the Easement Area.
6_ Each party reserves the right to close all portions of its Easement Area for the
reasonable period of time legally necessary, in the opinion of the party's counsel, to prevent the
acquisition of prescriptive rights by anyone`, providr4 however, that before completely closing
off all portions of its Easement Area the parry shall give wgrtten notice w Can other parry of its
intention to do so.
c. The Easement granted herein is subject and tubordi fen to any and all metsvrs of
record as of the date hereof, provided however, that Gateway represents and wer1ents to TOC-DS

encumbering the Gateway Property, and TOC represents and warrants to Gateway thaz, as of
the Effective Dal, there is no mortgage, deed of trust or orb= voluntary lien encumbering the

a Pavement of PM Area Gateway has the right fn cirstrnc t a road =face
reasonably stored for the Easement Purpose on the portion of the Easement Area shown on
Exhibit A as being completely fU1ed in and labeled "New Pavh z Area ='
Car Waal, Matters. Gaxewny understands, acknowledges and agrees that -
ther-e its a car wash very near the Nv w Paving Area on the TOC-DS Property, which. bas
been in use for ■ substantial period of three prior to the date hereof (the oCa, Wash), and
that the New Paving Area is likely to be constantly wct, and Gater a7 has specifically
requested the right to pave the New Paving Area, desphe being aware of this condition, and
Grantee assumes Ail liability and respensibiiity in conuettlen therewith. Furthermore, in

area will be of a slightly higher grade, sloping downward to latex the exiting paved road

Pavement Aug, which shall be at Gateway's sore cost and expense, each party shall,• at its own cost, keep
the pavement located on its Easement Area in good condition and rea stain it in accuraiancx with all
applicable laws, rules, regulnrionn and orders applicable to the Property. Notwithstanding the foregoing,
if any party (or its perrnittee i) causes damage to any Easement Area or the Pavement located thereon,
then that party shalt bear the cast of repairing that damage, and any such repairs shall be performed Qs
soon as posctioahte after the damage orals.

respect to its Property, to comply with all laws, rules, - regulations and requirements of all public
authorities applicable to that Propertye and to ucdorenify, decoct, and hold each outer party harmless from
and against all claims, demr lasts, dsmagcs, liabilities and =peases, acid all suits, actions and
judgments (i>lgluding court costs and reasonable attorney's ftcs) arising out of or in 9ny way related to the
indemnifying party's failure to do so. Each party shall givr prompt and timely notice to arty other party

6_ DefauIt On a failure by a pasty to perform, fulfill or observe any agreement herein to be
performed, fulfilled or obsctved by that party (the " ► Party"), continuing for thirty (30) days
after written notice thereof to the Defaulting Party from ;my other party or parties hereto (the
"Nootdefaatting Parry") (but if the cure is of a nature such that it cannot reasonably bo Pared within thi rtY
(30) days, then the Defaulting Party will not be hi default no long as it promptly commences the cure and
cares within a reasonable period of time, not to exceed ninety (90) days after written notice thereof), the
Nondefauhing Party shall be entitled to (a) take reasonable scions to cure the default; and (b) recover
from the Lk'taltlting Party the reasonable costs and expenses Incurred in curing the default, plus inteteat
thereon of the highest lawful rate from the daze incurred, which sum shall be due and payable by the.

Easement Property: That certain property described in Exhibit "A ", attached hereto and made a
part hereof for all purposes.
Easement Purpose: Ingress and egress by vehicular traffic, including any emergency vehicles.
NOW, THEREFORE, in consideration of the premises and the sum of TEN AND NO /1 00
DOLT.A.RS (510.00) in hand paid by Grantor, and other good and valuable consideration, the
receipt and sufficiency of which are hereby ac and confessed by Grantee, Grantor does
hereby convey, assign, transfer and grant the private easement (the "Easement") on, over, under,
through and across the Easement Property for the Easement Purpose in common with others; it
being intended hereby to confirm, establish and transfer the rights of Grantor in and under the
private easements established by the attached Mutual Access Agreement and the attached plat as to
the property owned by Grantor and for the use and benefit of the owners ("Grantees ") of the
properties which are contiguous to the property of Grantor and the private easements here
described.
1. Successors. This Easement shall be binding upon and shall inure to the benefit of
the parties hereto, and their respective successors, assigns, heirs, legal representatives, tenants,
lessees and invitees.
2. Teams and Conditions. The following other terms and conditions shall apply to the
Easement granted hereby:
Reservation of Rights. Grantor reserves for Grantor and Grantor's successors and
assigns the right to continue to use and enjoy the surface of the Easement Property
for all purposes that do not interfere with or interrupt the use or enjoyment of the
Easement for the Easement Purposes. Grantor reserves for Grantor and Grantor's
successors and assigns the right to use all or part of the Easement and the right to
convey to others the right to use all or part of the Easement.

Being all that certain tract or parcel of land lying and being situated in the MORGAN
RECTOR LEAGUE, Abstract No. 46 in College Station, Brazos County, Texas and being
part of Lot 1, Block B and Lot 1, Block A HANEY- HIGHWAY 6 Subdivision as recorded
in Volume 805, Page 621 of the Official Records of Brazos County, Texas (O.R.B.C.) and
being more particularly described by metes and bounds as follows:
COMMENCING: at a 1/2 -inch iron rod set for corner marking the west corner of said Lot 1,
Block B, the south corner of the BERNADINE ESTATES, 1' INSTALLMENT Subdivision
