any breach of contract, arising out of or in connection with the installation, operation
and maintenance of the facilities authorized by this permit. This indemnity shall
apply regardless of whether such injuries, death, damages, or breach are caused in
part by the negligence or omission of the City, any other party indemnified
hereunder, the Contractor, or any third party.

Texas, and that the proceeds from this Letter of Credit will either be utilized by the City of College
Station, Texas, to complete such removal or will be returned by the City of College Station to the

SPECIAL TERMS & CONDITIONS:
1. All banking fees /expenses /charges incurred are for the account of Developer. This Letter of
Credit is issued in conjunction with the development of Developer in the City of College Station,
Texas, specifically for the following:
To guarantee the payment and performance of the removal of private irrigation,
electrical, landscaping, retaining walls, shelters, signs and related improvements
in , within the City of College Station,
Texas, for a period not to exceed one (1) year from the date hereof.
2. Disbursements pursuant to this Letter of Credit will never exceed the above - stated amount, less
any amount released by the City of College Station, Texas. The amount of credit under this
Letter of Credit may be reduced upon approval and acceptance by the City of College Station,
which reduction may only be made with the written authorization of the Development Engineer of
the City of College Station.
3. In accordance with Section 5.106 of the TEXAS BUSINESS AND COMMERCE CODE, this Letter of
Credit may be modified, upon the execution and delivery to Issuer of a sworn statement giving
consent to modification by the Development Engineer of the City of College Station.
4. The Issuer of this Letter of Credit has caused this Letter to be signed by the undersigned officer
who has attached proof of his authorization to sign, together with attestation by Issuer's
authorized attesting officer and sealed with the seal of Issuer.

Dear Brett:
In the original application regarding City approval of the aforementioned project, I did not
fill out the form properly as it relates to estimated removal cost. I left that blank and
should have shown a cost of $3,000. Please let this letter serve as evidence to amend
the application accordingly.
I have enclosed a check for $3,000 to serve as a deposit to be used by the City of
College Station in the event that any improvements are required to be moved on or
before 11/20/03. If the money has not been used on or before 11/20/03, then the deposit
shall e returned to BCS Development Co. Thank you.

Re: Westfield Village Entrance PIP (02 -213)
Dear Randy,
This letter should serve to clarify the nature of the $3000 cash deposit made for this
application.
At this time, City ordinance requires the posting of a financial guarantee for the possible
removal of facilities authorized under the permit. The guarantee has no expiration and must
remain in force until such time as the improvements are removed.
However, due to some of the adverse impacts this requirement has on potential
developments, Staff will be approaching Council in the next several months with revised
wording that will limit or eliminate the guarantee requirement.
When Council has acted on this issue, we will revisit the deposit made on this project and
adjust or refund it to meet the revised ordinance.
Thank you for your cooperation, and I look forward to your assistance in bringing this issue to
Council for discussion and evaluation.

RE: Clarification, Landscape Irrigation System —Westfield Village Entry
Bob,
This correspondence is in response to the fax 1 received from you earlier today concerning the
proposed Landscape irrigation system at the Westfield Village entry. it appears the City of College
Station staff is requiring clarification concerning the location of the irrigation mainline and valves. The
drawing submitted 10/04/02 contains a statement addressing this issue. The statement is as follows:
"Mainline and valves shown in street and hardseape areas for diagrammatic purposes only
I believe this statement puts to rest any fears that the piping would be installed under the street.
However, we will have no difficulty installing the mainline and valves at least (5') behind the back of the
curb as requested by Mr. McCully. The advantages to this suggestion are obvious to us and we want to
thank Brett for pointing this out at this stage; it makes things easier for all of us in the long run.
