RELOCATION EASEMENT AND
RESTRICTIVE COVENANTS

§ KNOW ALL MEN BY THESE PRESENTS:
COUNTY OF 13RAZOS §
WHEREAS, under date of P. G LONGMIRE and wife, RUTH G.
LONGMIRE, executed in favor of LONE STAR GAS COMPANY that certain Right
of Way and Easement Agreement covering 38S acres of land, more or less; 171 acres of
land, more or less, 30 acres of land, more or less; and 100 acres of land, more or less, out
of the Crawford - Burnett Survey, Brazos County, Texas, recorded in Volume 148, Page
429, Deed Records, said County and State, reference to which recorded instrument is
hereby had and made for any and all purposes in connection herewith; and
WHEREAS, pursuant to the above reference Right of Way and Easement
Agreement, approximately 6,325 feet of 6 -inch pipeline formerly designated Line L8C
was installed by Lone Star Gas Company on the property covered by said Right of Way
and Easement Agreement; and
WHEREAS, under date June 10, 1975, Lone Star Gas Company executed that
certain Partial Release of Easement releasing the above referenced Right of Way and
Easement Agreement insofar and only insofar as same might cover and included all of the
land covered thereby, SAVE AND EXCEPT a strip of land forty feet (40') in width
described therein, together with the right of ingress to and egress from said forty foot
strip, said Partial Release of Easement being recorded in Volume 75, Page 717, Release
Records, Brazos County, Texas, reference to which recorded instrument is hereby had
and made for any and all purposes in connection herewith; and
WHEREAS, subsequent to execution of the above reference Right of Way and
Easement Agreement, Wal -Mart Real Estate Business Trust, a Delaware statutory trust
(herein referred to as "G,RANTOR") acquired fee title to 10.5 acres out of the property
covered by the above referenced Right of Way And Easement Agreement by deed dated
November 17 2008, from Freedom Hill Limited Partnership to Grantor, recorded as
Document No 01015021, Official Public Records, Brazos County, Texas, and Grantor
acquired fee title to 7.4 acres out of the property covered by the above referenced Right
of Way And Easement Agreement by deed dated November 17 2008, from ABS TX
Investor, LP to Grantor, recorded as Document No 01015019, Official Public Records,
Brazos County, Texas, and Grantor acquired fee title to those four (4) tracts of land
known as Lots 4I) and 4E, Block 15, Southwood Plaza, Phase II, an addition to the City
of College Station, Brazos County, Texas according to the Revised Plat of Lot 4,
Block 15, Southwood Plaza, Phase II, recorded in Volume 1203, Page 143, Official
Public Records, Brazos County, Texas and Lots 4J and 4K, Block 15, Southwood Plaza,
Phase II, an addition to the City of College Station, Brazos County, Texas according to

the Replat of Lot 4B, Block 15, Southwood Plaza, Phase II, recorded in Volume 2153,
Page 93, Official Public Records, Brazos County, Texas, said lots being covered by the
above referenced Right Of Way and Easement Agreement by deed dated November 17,
2008, from Wal -Mart Stores, Inc to Grantor, recorded as Document No. 01015022,
Official Public Records, Brazos County, Texas; reference to which recorded instruments
is hereby had and made for any and all purposes in connection herewith; and
WHEREAS, the corporate name of Lone Star Gas Company has been changed
to ENSERCH Corporation and the corporate narne of ENSERCH Corporation has
been changed to 'TXU Gas Company; and
WHEREAS, TXU Gas Company, a Texas Corporation, converted into TXU Gas
Company LP, a Texas limited partnership; and
WHEREAS, TXU Gas Company LP merged with LSG Acquisition
Corporation, a Texas corporation; and
WHEREAS, LSG Acquisition Corporation merged into Atrnos Energy
Corporation, a Texas corporation, with offices located at 5420 LBJ Freeway, Suite
1800, Dallas, Texas 75240 (hereinafter " Acmes");
WHEREAS, Grantor has further requested that Atmos relocate approximately
1800 feet of 6 -inch Line College Station/ T21 and a portion of its easement to
accommodate the proposed construction on the property covered by the above referenced
Right of Way and Easement Agreement; and
WHEREAS, Atmos is willing to relocate portions of said pipelines and a portion
of the existing easement to accommodate said proposed construction on said property,
and following formal completion of relocation and alteration of its facilities to release
that portion of the existing easement strip unnecessary for its purpose, but in order to
protect the relocated easement as herein described, Atmos requires that covenants be
adopted which restrict the uses that may be made of the relocated easement area to uses
which are compatible with the reasonably anticipated needs of Atmos; and
WHEREAS, Grantor is agreeable to the terms and conditions under which Atmos
is willing to relocate a portion of its pipelines and a portion of its easement and execute a
partial release of the foregoing easement.
NOW, THEREFORE, for and in consideration of the sum of Ten Dollars ($ 10.00)
and other good and valuable consideration, cash in hand paid by Atmos, located at 5420
LBJ Freeway, Suite 1800, Dallas, Texas 75240, the receipt and sufficiency of which is
hereby acknowledged, Grantor does hereby GRANT, SELL and CONVEY unto Atmos
(herein styled "GRANTER "), its successors and assigns, a free and unobstructed right of
way and easement forty feet (40') in width to construct, inspect, maintain, repair, operate,
replace, relocate, change the size of, all within the easement herein described, abandon in
place and remove at will, in whole or in part, pipelines and appurtenances thereto,

cathodic protection equipment and aerial markers over and through the above referenced
10.5 acre tract and Lots 4D, 4E, 41, and 4K situated in Brazos County, State of Texas.
The right of way and easement herein conveyed shall be forty feet (40') in width,
located as described by metes and bounds on the Exhibit "A" attached hereto and made a
part hereof. GRANTEE shall also be entitled to use a portion of GRANTOR'S adjacent
land and additional land as reasonably necessary at road and creek crossings for
temporary construction purposes, said area as shown on Exhibit "C" attached hereto and
made a part hereof.
TO HAVE AND TO HOLD unto said GRANTEE, its successors and assigns, so
long as such lines, appurtenances and related facilities thereto shall be maintained, with
ingress to and egress from the premises across the adjacent lands of GRANTOR, for the
purpose of this grant. GRANTOR shall not interfere with the exercise of GRANTEES
rights by constructing or permitting to be constructed any permanent structure upon the
easement strip herein conveyed, unless otherwise permitted, and GRANTOR further
agrees that the easement area herein granted shall be free and unobstructed, and is and
shall be subject to the following restrictive covenants, which shall run with the land so
long as the easement exists:
No structure or obstruction, including but not limited to trees, shrubs,
parking lot paving, and utilities, shall be placed, planted or built in the
easement without the review of plans and prior written approval of
GRANTEE. GRANTEE hereby acknowledges that it has reviewed and
approved the structures and obstructions shown on the plans prepared by
Doucet & Associates, Inc., sheet 1 and 2, Project No. 001 -402, dated
December 5, 2008, entitled "6-inch Gas Line Crossings" attached as
Exhibit "C" to that certain Relocation Agreement dated on or about the
date hereof by and between GRANTOR and GRANTEE.
No fence shall be built on, over or along the pipeline or parallel to the
pipeline within the easement. Fences of wood or wire may cross the
pipeline at approximately 90 angle.
Any proposed crossing of the pipeline by utilities or driveways shall meet
Atmos crossing standards.
No road shall be built on, over or along the pipeline except to cross the
pipeline at not less than 90° angles, and none of the easement shall be
dedicated as a public utility easement, road or alley, other than that portion
of the easement crossed at an approximate 90° angle.
No dirt shall be removed from the surface of the easement, no water
impounded over the pipeline, and the grade of the surface shall not be
changed without the review of plans and prior written approval of
GRANTEE.

No septic tanks, or drain or lateral lines from such a tank shall be installed
within the easement.
Landowner shall not dig, excavate or drill within the easement without
first notifying GRANTEE to permit the locations and protection of the
pipeline by Atmos personnel.
GRANTEE, its successors and assigns shall have the right to prevent
construction or placement of any structure or obstruction, and to remove
or require to be removed any structure or obstruction that has been placed
or constructed within the easement.
The property shall not be subdivided using the pipeline as the dividing line
and any property line within the easement must cross the pipeline at not
less than a 60° angle.
GRANTEE, at the time of construction, hereby agrees to bury all underground
pipe to a sufficient depth (of a minimum of' three (3) feet) so as not to interfere with
normal cultivation of soil and to pay any damages which may arise to growing crops and
fences from the construction, maintenance and operation of pipelines and related facilities
constructed under the terms of this grant. The consideration received for this easement
includes payment for the normal damages caused by the initial construction of the
pipeline and its appurtenances. Should more than one pipeline be constructed under this
grant at any time, the sum of two dollars per lineal rod for each additional line shall be
paid, besides the damages provided above.
GRANTEE hereby agrees that during periods of construction, maintenance,
repair, and operation of the pipelines and related facilities, GRANTEE shall use
commercially reasonable efforts to avoid material interference with the means of ingress
and egress to and from GRANTOR'S property.
GRANTOR assumes all risks and liability resulting or arising from or relating the
existing condition or location, or existing state of maintenance, repair or operation of the
existing storm sewer located within the Easement Area, It is further agreed that
GRANTEE shall not be liable for any damage to the storm sewer located within the
Easement as a result of GRANTEE'S use or enjoyment of its Easement, unless caused by
the intentional misconduct or gross negligence of GRANTEE.
The consideration first above recited as being paid to GRANTOR by GRANTEE
is in full satisfaction of every right hereby granted. All covenants and agreements herein
contained shall extend to and be binding upon the respective heirs, legal representatives,
successors and assigns of the parties hereto and is further assignable in whole or in part.
GRANTEE, for and in consideration of the above, releases, relinquishes and
surrenders from under the terms of the above referenced Right of Way and Easement

Agreement that certain 0.9469 acre tract of land more fully described and located as
shown on Exhibit "B" attached hereto and incorporated herein:
This release to be effective upon completion of the relocation of the pipeline, but
in any event no later than one hundred twenty ( 120) days after the recording of this
instrument.
The parties hereto agree this instrument is an amendment to the existing
easement, that this partial release is litnited to the premises specifically released herein,
and GRANTEE retains all rights in the original easement which are not specifically
released herein.
