Rather than address this issue as you suggested in my office on January 23, 2001, we would propose the following: Fairfield will provide to the City of College Station, at no cost, approved plans and specifications for the public lift station and force main necessary for service to the development (per your proposal of January 23). Fairfield will complete payment on and furnish to the City the easement necessary to construct the lift station and force main (per your proposal of January 23). Fairfield will be responsible for the cost of constructing a public gravity wastewater line from the development to the lift station. The City of College Station will construct the lift station and force main through its standard bidding and purchasing procedures. In the event the lift station and force main are not in service at the time Fairfield requests certificates of occupancy for the development, the City will provide alternate wastewater service as necessary to serve the development. This proposal is contingent on the City of College Station entering into a contract for services related to the lift station - force main construction with your lift station design engineer. Include title block information as per submittal checklist (subdivider information, name of subdivision, preparation date, etc.). Is the name of the Subdivision to be "Fairfield at Luther"? 2. Select lot and block number of subdivision (i.e. Lot 1, Block 1). 3. Indicate the zoning of surrounding properties to the northwest (TAMU- C -U) and southwest across FM 2818 (R -1). 4. The preliminary plat should not show trees or existing buildings to be removed. The plat should show easements (light), elevations (light) and utilities (dark) and outline of subdivision (dark). 5. Locate and show gas pipelines along southern boundary as indicated on plans. Note content of pipeline. 6. Developer needs to provide a 10' easement all around the property, except for the south side of the property that needs a 20' easement. Applicant: Paul Johnston for Fairfield Residential Staff Recommendations: Seeing that this submittal has met the requirements for a Final Plat, City staff recommends approval of this item Staff Member: Spencer Thompson, Development Services/ Engineering Item Summary: The subject property is located on Luther Street West at the intersection of Luther and Harvey Mitchell Parkway South (FM 2818). The property is currently zoned PDD-H. The 20+-acre development will consist of 17 multi-story apartment buildings, a leasing office and various amenities consisting of a total of 308 dwelling units. The developer will be upgrading Luther Street in front of the site.I However, this woul;d leave Luther Street with an unimproved section from this development to the Melrose Complex to the east. The developer has agreed to upgrade this "in-between" section, as well. Due to the topography of the area, this property does not drain to the City's gravity sewer system. The developer has agreed to build the necessary lift-station, which will be located across FM 2818. Wastewater from the development will gravity sewer to the lift- station and then be pumped to a manhole to the east on FM 2818. The newly constructed lift-station will serve not only this property, but also the entire west utility layout as discussed in a presentation to Council entitled "West Side Utilities Feasibility Study" dated January 27, 2000. This study looked at serving the City north of the airport along Raymond Stotzer Parkway. Details for the construction the lift station will be worked out by way of a development agreement between the City and the developer. Comprehensive Plan Considerations: The City's Thoroughfare Plan depicts Luther Street as a major collector. However, the street was not constructed as such at Marion Pugh. City staff decided to allow the Fairfield developers to improve Luther to the same standards as that set for the Melrose development. Parkland dedication shall be as a fee in lieu of land. The fee shall be $112 per dwelling unit and the park development fee shall be $233 per dwelling unit for a total of $345 per dwelling unit. NOW THEREFORE, for and in consideration of the recitations above, and in consideration of the promises and covenants herein expressed, the parties hereby agree and covenant as follows: 1. DEFINITIONS For the purposes of this Agreement, when not inconsistent with the context, words used in the present tense include the future tense, words in the plural include the singular, and words in the singular include the plural, and the use of any gender shall be applicable to all genders whenever the sense requires. The words "shall" and "will" are mandatory and the word "may" is permissive. Words not defined in this Agreement shall be given their common and ordinary meaning. 1.1 DEVELOPER means FF DEVELOPMENT L.P., a Delaware limited liability company or its assignee or successors-in-interest. 1.2 C1TY means the City of College Station, Texas, a Home Rule Municipal Corporation organized under the laws of the State of Texas. 1.3 CERTIFICATE OF OCCUPANCY is as defined in Chapter 3, Section 1.C.10 of the City of College Station Code of Ordinances. lA PROPERTY means the property as described in Exhibit "A." 1.5 DEDICATE means to convey to the City in fee simple at no cost. Contract No. 00-097 DEVELOPMENT AGREEMENT - Page 1 1.6 RIGHT-OF-WAY means the area dedicated to the City for Jones-Butler Road described in Exhibit "B." 1.7 FINANCIAL GUARANTEE means a letter of credit or an interest-bearing escrow account at a College Station or Bryan bank or title company. The form of the guarantee shall be subject to the review and approval of the City Attorney. 2. DEVELOPER'S OBLIGATIONS Subject to Section 3 hereinbelow, Developer agrees as follows: A. Developer agrees to and shall dedicate and convey to the City in fee simple additional right-of-way for Jones-Butler Road that is described on Exhibit "8" attached hereto and made a part hereof. The dedication shall be made either by final plat of the Property or by deed. OWNER may elect to defer the dedication until after the plat is filed with the City on condition that the OWNER posts a financial guarantee equal to the estimated value of the right-of-way. The value of the right-of-way shall be based on an appraisal submitted by the DEVELOPER. 13. Within forty (40) days of the approval of this Agreement by the City Council, Developer shall post with the City the sum of $40,116.00, to pay for the improvements of one-half (%) of Jones-Butler Road adjacent to the Property. The City agrees to accept such payment as payment in full for all infrastructure and improvement requirements in connection with the construction of Jones-Butler Road along the frontage of the Property. DEVELOPER may, at its option, defer the payment until the completion of construction if a financial guarantee is posted with the City within forty (40) days of the execution of this Agreement to secure the payment. C. In the event that Developer fails to remit the funds required pursuant to Paragraph 2(B) hereinabove, or Developer or fails to dedicate the right-of-way pursuant to Section 2(A) hereinabove, such failure shall constitute a default. In such event, Developer agrees and understands that: (1) upon default, City shall have the right to draw down on the financial guarantee without notice; (2) the tendering of this document, with a sworn statement of the Director of Development Services that Developer is in default, shall be sufficient for the bank or surety to release the funds in escrow or pay the sum guaranteed by the letter of credit; and (3) City will not issue a certificate of occupancy for the Property until the default is cured by either the payment by the surety or bank, performance by the Developer, or both. CITY'S OBLIGATIONS The City agrees to waive any assessment or charge against the Property in connection with the construction of Jones-Butler Road provided that Developer fully performs its obligations pursuant to Section 2 of this Agreement. 4. INDEMNITY Developer agrees to and shall indemnify and hold harmless and defend City, its officers, agents, and employees from and against any and all claims, losses, damages, causes of action, suits, and liability of every kind, including all reasonable expenses of litigation, court costs, and reasonable attorney's fees, for injury to or death of any person, for damage to any property, for any breach of contract arising out of or in connection with this Agreement. 5. RELEASE Developer releases, relinquishes and discharges the Developer, its officers, agents, and employees from all claims, demands, and causes of action of every kind and character, including the cost of defense thereof, for any injury to or death of any person (whether they be either of the parties hereto, their employees or other third parties) and any loss of or damage to property (whether property of either of the parties hereto, their employees, or of third parties) or any claim of inverse condemnation or condemnation under the United States or Texas Constitution that is caused by or alleged to be caused by, arising out of, or in connection with this Agreement. 6. GOVERNING LAW It is understood that this Agreement shall be governed by, and construed and enforced in accordance with, and subject to, the laws of the State of Texas. The parties agree that performance of this Agreement shall take place in Brazos County, Texas, and that venue shall lie in the court of competent jurisdiction in Brazos County, Texas. 7. BINDING EFFECT It is understood and agreed that this Agreement shall be binding upon and shall inure to the benefit of the parties and their respective successors and assigns, 8. ENTIRE AGREEMENT It is understood that this Agreement contains the entire agreement between the parties and supersedes all prior agreements, arrangements, or understandings between the parties relating to the subject matter. No oral understandings, statements, promises or inducements contrary to the terms of this Agreement exist. AUTHORITY Each party has the full power and authority to enter into and perform this Agreement, and the person signing this Agreement on behalf of each party has been properly authorized and empowered to enter into this Agreement. The persons executing this Agreement hereby represent that they have authorization to sign on behalf of their respective corporations. 10. WRTI - rEN NOTICE All notices required by this Agreement (i) shall be in writing, (ii) shall be addressed to the parties as set forth below unless notified in writing of a change in address, and (iii) shall be deemed to have been delivered either when personally delivered or, if sent by mail, in which event it shall be sent by registered or certified mail, return receipt requested, three (3) business days after mailing. SEVERABILITY If any of the terms and conditions hereof shall for any reason be held to be invalid, illegal, or unenforceable in any respect, such validity, illegality, or unenforceability shall not affect any other of the terms and conditions hereof and the terms and conditions hereof shall thereafter be construed as if such invalid, illegal, or unenforceable terms and conditions had never been contained herein. 14. COUNTERPARTS This Agreement may be executed in any number of identical counterparts, and each counterpart hereof shall be deemed to be an original instrument, but all counterparts hereof taken together shall constitute a single instrument. 15. PRESUMPTION CONCERNING INTERPRETATION This Agreement shall not be construed more strictly against one party against the other merely by virtue of the fact that it may have been prepared by counsel for one of the parties, it being recognized that all of the parties to this Agreement have contributed substantially and materially to the preparation of this Agreement. 16. FURTHER ASSURANCES, In connection with this Agreement as well as all transactions contemplated by this Agreement, each signatory party hereto agrees to execute and deliver such additional documents and instruments and to perform such additional acts as may be necessary or appropriate to effectuate, carry out and perform all of the terms, provisions, and conditions of this Agreement and all such transactions. 17. RECITALS Any recitals in this Agreement are represented by parties hereto to be accurate, and constitute a part of the substantive agreement. 18. ASSIGNMENT Developer may not assign this Agreement, either collectively or individually, without giving City prior written notice of intent to assign and without the prior written consent of the City, which consent shall not unreasonably be withheld or delayed. 19. WAIVER Failure of any party, at any time, to enforce a provision of this Agreement, shall in no way constitute a waiver of that provision, nor in any way affect the validity of this Agreement, any part hereof, or the right of the party thereafter to enforce each and every provision hereof. If Developer does not close its acquisition of the Property, this Agreement shall terminate and neither Developer nor City shall have any obligation or liability hereunder. 21. The proposed final plat consists of platting a one lot subdivision in accordance with the approved preliminary plat The final plat is identical to the preliminary plat with the exception of intemal easement locations for utilities. The public improvements associated with the final plat include the widening and improving of Luther Street from approximately 850' southwest of Jones Butler Road, to Harvey Mitchell Parkway, for a total distance of 2800 lineal feet Roadway improvements will consist of widening the pavement section to a 36' wide section, which will match the portion along the Melrose development, with a curb and gutter along the southeastern side, and a bar ditch along the northwestern side. Utility improvements consist of extending a 16" water line along the subject tract frontage, approximately 875 lineal feet and constructing internal water lines to provide fire and domestic service. Wastewater • service is still being negotiated with the City, however the developer feels confident that a solution can be found soon, We anticipate including within these plans a lift station and force main that will be public in nature, though privately maintained, until the City, or others, has constructed the necessary improvements to maintain the system themselves. Lift station and force main plans are forthcoming. Drainage improvements consist of constructing a single curb inlet and storm sewer system that will collect runoff from the street, convey that runoff through the proposed multi-family site an discharge it into the waterway located within the subject tract. The subject tract, and offsite areas affecting the subject tract, are located within the White Creek drainage basin, at the eastern corner of Luther Street and Harvey Mitchell Parkway. The proposed improvements include a single drainage area to the proposed curb inlet, as all other drainage areas are relatively unchanged. A review of the plans for the Melrose development indicates that runoff from the entire development is being collected and routed to a detention pond located on the southern corner of that development. Therefore, a significant portion of the natural drainage area to Luther Street has been diverted into a different drainage area Based on this, the only drainage area to Luther Street is the outparcels located along Luther Street, and the Luther Street ROW itself. Drainage calculations were performed for the single area using the Rational Formula. The drainage area is approximately 5.88 acres, with 1.30 acres of impervious cover for the 1/2 portion of the street located along the eastern half of the street. Due the long shape, and relative flatness of the drainage area the time of concentration calculated to be 38 minutes. This yielded intensities of 4.27 in/hr and 5.86 in/hr for the 10 year and 100 year storms respectively, and peak discharges of 12.8 and 17.6 respectively. Inlet depths for both storm frequencies are well below the top of curb elevation. Luther Street is generally along a ridge line between the main channel of White Creek, located on the TAMU property, and a tributary to the creek, located within the subject tract. Currently, Luther Street consists of a rural road with bar ditches along both sides of the road. Each bar ditch drains into its respective waterway. The proposed roadway improvements and widening will occur entirely along the eastern side of the roadway, thus the proposed edge of pavement along the westem side of the road will not encroach beyond the existing edge of pavement significantly. This will allow the existing bar ditch to remain intact, although the ditch will be cleaned of vegetation and debris to improve flow as a part of this project. Flow to the bar ditch will not be significantly increased due to the lack of drainage area to the ditch. No other drainage improvements are proposed with these roadway improvements. A 100-year water surface elevation is need for this development, if it has not already been established. Please present the results of the modeled 100-year storm event for this site. The results of this model will be reviewed and used to ensure that no base floor elevation or sewer access will be inundated during the 100-year storm event. Notes on drainage: As previously explained, the Melrose Apartment Complex has only one (1) constructed detention pond. The constructed pond receives approximately 3 /4 of the drainage from the complex. The remaining Melrose area (unconstructed) still remains a part of the drainage area hydraulically connected to your drainage channel. This area was not accounted for in the drainage report. Also, many of the arrows depicting flow on the included drainage map were incorrect. Flow occurs perpendicular to grade lines, not parallel. In addition, the Sigma Alpha Epsilon fraternity house project is providing detention on their site at the headwaters of your drainage channel.
