HomeMy WebLinkAboutcorporation agreement O 0 CERTIFICATE OF SECRETARY OF PEACH CREEK DEVELOPMENT CORPORATION As General Partner of Peach Creek Partners, Ltd. I, John E. McFarlane, Jr., hereby certify that I am now, and at all times mentioned herein have been, a duly elected, qualified, and acting Secretary of Peach Creek Development Corporation, a Texas corporation (the "Company"), that as such officer, I have custody of the records of the Company and that: 1. The Company is the general partner of Peach Creek Partners, Ltd., a Texas limited partnership (the "Partnership"), and that the Partnership is a limited partnership duly organized and existing under the laws of the State of Texas and is authorized to do business in the State of Texas. 2. That on or about the 23rd day of November, 2009, at a meeting of the partners of the Partnership and the board of directors of the Company in its capacity as general partner of said Partnership duly called and held in accordance with the Partnership Agreement of the Partnership and the Bylaws of said Company and the law, the following resolutions were unanimously adopted and recorded in the minutes of the books of said Company and Partnership kept by me and are in accord with and pursuant to the governing agreements of said Company and Partnership and are now in full force and effect, to-wit: WHEREAS, Peach Creek Partners, Ltd. is the owner of certain real property described as that certain 92.517 acre tract more fully described on Exhibit "A" attached hereto and made a part hereof (the "Property"); and WHEREAS, Peach Creek Partners, Ltd. is developing the Property; and WHEREAS, the Partnership has agreed to authorize JOHN E. MCFARLANE, JR., as President of the Company in its capacity as general partner of the Partnership to execute (i) any and applications and requests related to the development of the Property, including but not limited to, any platting applications, plats of the Property and/or site plans of the Property, and (ii) any and all easement documents necessary or convenient for the development of the Property. NOW, THEREFORE, BE IT RESOLVED, that the existing partners of the Partnership and the board of directors of the Company, authorize and direct JOHN E. MCFARLANE, JR., as President of the Company in its capacity as the general partner of the Partnership to execute (i) any and applications and requests related to the development of the Property, including but not limited to, any platting applications, plats of the Property and/or site plans of the Property, and (ii) any and all easement documents necessary or convenient for the development of the Property, on behalf and in the name of the Company; RESOLVED FURTHER, that the President/Secretary of the Company is directed to certify the Minutes of this meeting and the contents of these resolutions and to deliver such certification in support of the authority to act on behalf of the Company. RESOLVED FURTHER, that the foregoing powers and authorities shall continue in full force and effect until written notice or revocation has been given. 0 0 3.
