KARBROOKE, INC., Grantor, .for the. sum of ONE DOLLAR ($1.00) and other good and valuable consideration, paid by BRETHREN CHURCH OF BRYAN/COLLEGE STATION, Grantee, does hereby grant, sell and convey unto Grantee an easement: for the purpose of parking thirty-five (35) automobiles or other passenger vehicles upon the following described property of the Grantor: All that certain 7.158 acre tract lying and being situated in the Morgan Rector Survey, Abs. No. 46, in College Station,. Brazos County, Texas, and beuig more fully .described by metes and bounds on Exhibit "A" which. is attached' hereto and made a part hereof by reference for all intents and purposes. CHARACTER OF EASEMENT 2. The easement granted herein is appurtenant to the use by Grantee of the operation of Grantee's church, which is the dominant tenement in connection with this easement and is located at 2650 East Bypass 6, College Station, Texas, and more fully described as follows: Being .all that certain tract or parcel of land lying and being situated in Brazos County, Texas, and being a 4.367 acre tract of land in the Morgan Rector Survey, Abst. No. 46, Brazos County, Texas, and being a part of the 25 acre tract of land described in a partition deed between. G. W. Scasta, et ux to James M. Doss, et ux recorded in Vol. 191, pg. 80, Deed Records of Brazos County, Texas, and being described as follows: BEGINNING at the North comer at an iron stake and being the North corner of the Doss 25 acre tract of land described in the beforementioned partition deed between G. Eas Pnwcwc EasEM>:rrr PncE 1 i THENCE 46 00 E 194.6 ft. to an iron stake for corner in the west line of Highway 6 East Bypass; THENCE S 1 Ol W 635.9 ft. along the West line of Highway 6 East Bypass to an iron stake for corner; THENCE N 45 11 W 635.6 ft. to an iron stake for corner; THENCE N 44 56 E 456.2 ft. to the place of beginning and containing 4.367 acres of land, more or less. THIS CONVEYANCE IS MADE SUBJECT TO THE FOLLOWING: 1. Right of Way easement dated July 22, 1919, from John Krolczyk to Humble Pipe Line Company recorded in VoL 49, pg. 24, Deed. Records of Brazos County, Texas. 2. All valid and subsisting easements, restrictions, rights of way, conditions, exceptions, reservations and covenants of whatsoever nature of record, if any, and also to the zoning laws and other restrictions, regulations, ordinances and statutes of municipal or other governmental authorities applicable to and enforceable against the described premises. PURPOSE OF EASEMENT 3. The right-of--way, easement, rights, and privileges herein granted shall be used only for the purpose of parking up to thirty-five (35) automobiles or other passenger vehicles used by the invitees, licensees, employees, or agents of the Grantee in connection with the operation of Grantee's church. DURATION OF EASEMENT 4. The easement, rights, and privileges herein granted shall exist in perpetuity, or for so long as Grantee uses its property as a Brethren church. Grantor hereby binds itself, its legal representatives, successors. and assigns, to warrant and forever defend for the duiration of the easement the above described easement and rights unto Grantee. The easement, rights, and privileges granted hereunder shall terminate upon the; earlier occurrence of one of the two following events: a. .Grantee does not maintain. liability insurance on behalf of Grantor as described below, or b. Grantee ceases to use its property as a Brethren church. INDEMNITY INSURANCE 6. Grantee indemnifies and agrees to shall hold harmless Grantor and its owners, employees, and agents from all claims, demands, or judgments arising from the use of the easement tract, unless such claims, demands, or judgments are caused solely by the negligence of Grantor. Grantee shall provide public Liability insurance with limits of not less than $1,000,000.00 for each individual, and $1.,000,000.00 for each accident, and $50,000.00 for property damage in the performance of its obligations under this paragraph. Grantor shall be named as an additional named insured. A Certificate of Insurance in a form satisfactory to Grantor shall be provided by Grantee to Grantor on request. Such insurance may not be canceled without fifteen (15) days' notice to Grantor and the Certificate shall so provide. ENTIRE AGREEMENT,;. 7. This instrument contains the entire agreement between the parties relating to the rights herein .granted and the obligations herein assumed. Any oral representations, or F:\SHANE\CASE\0113\PARKING.EAS PARICR4G EASEMENT PAGES modifications .concerning this instrument shall be of no force and effect excerpting a subsequent modification in writing, signed. by the party to be charged ATTORNEY'S FEES 8. In the event of any controversy, claim, or dispute relating to this instrument or the breach thereof, the prevailing party shall be entitled to recover from the opposing party reasonable expenses, attorney's fees, and costs. BINDING EFFECT 9. This Agreement shall bind and inure to the benefit of the respective parties, their personal representatives, successors and assigns. NOT ASSIGNABLE 10 This easement shall not be assignable by the Grantee, and any assignment shall terminate the easement. IN WITNESS WHEREOF, this instrtunent is executed this 14th day of June, 1995.
