I have some concerns over the hold harmless provision to the City on page 2 of the agreement under the subheading PRIVATE UTILITY EASEMENT. This paragraph only has a hold harmless provision from the lot owners to the City and does not mention indemnification from the lot owners to the City. The City needs to be indemnified by the lot owners with regard to the use of the private utilites running from the city to the private lots. Therefore, it is recommended that we change the PRIVATE UTILITY AGREEMENT to read as follows: The fifth sentence be changed to read: Each lot owner agrees to hold the other property owners harmless for any damage or liability of any kind associated with the private utilities serving their lot. (Basically taking out the hold harmless provision for the City and moving it to the end of the paragraph) A sentence at the end of the paragraph be added and read: Each lot owner agrees to and shall indemnify and hold harmless and defend the City of College Station, its officers, agents, and employees from and against any and all claims, losses, damages, causes of action, suits, and liability of any kind arising out of or in connection with the private utilities serving their lots regardless of whether such injuries, death, damages, or breach are caused in whole or in part by the negligence of the City of College Station, including but not limited to the following situation: In the event the City is damaged due to the act, omission, mistake, fault or default of one of the lot owners, then the lot owner shall indemnify and hold harmless and defend the City for such damage. If we can get them to put this sentence on the end of the paragraph, the City should be in good shape. With regard to the maintenance and access of the private utilities, the city's interests look to be adequately protected by the agreement. Please let me know if you have any questions or comments. Mr. Talbert said he had no problem with the first sentence I proposed be changed on page 2 of the replat document. With regard to the second sentence I proposed be changed, Mr. Talbert agreed to the first part of the sentence but could not agree to the second part of the sentence. Specifically, Mr. Talbert suggested that a period be placed after ...and liability of any kind arising out of or in connection with the private utilities serving their lots, suggesting that the remainder of the sentence be deleted from the paragraph. He said he would not agree to the indemnity to the city regardless of the city's own negligence. I agreed to the change and the document is attached to this memo. Although it would be nice to have the full paragraph, the indemnity and hold harmless from the lot owners to the city should adequately protect the city's interests. If there is anything else I need to know about this or you recognize a potential problem with this or any other problems, please let me know.
