Dear Ms. Me~rgan,
This letter is to serve as an agreement between Pebble Creek. Development Company and
the City of College Station regarding Pebble Creek Phase SD. The City of College
Station agrees to proceed with the filing process of Pebble Creek Phase SD and in turn
Pebble Creek Development agrees not to sell Lots 19 & 20; Block.25; Phase SD until the
transaction involving Lots 19 & 20 and the City of College Station Business Park is
complete.

current condition and the improvements to the Property required of
Seller bElow.
Seller has, before the execution hereof and at its. expense,
furnished to the School District a current survey of the Property
prepared by a surveyor of Seller's selection.
Current taxes shall be prorated through the date of closing.
If ad valorem taxes for the year in which the sale is closed are
not available on the date of closing, proration of taxes shall be
mad f taxes assessed in the previous year,.
DEVE ENT P SIGNS
As additional incentive for the School District to purchase
the. Property, Seller agrees to make the foilowinq improvements to
the Property:
1. C struct'on of S eat. an dewal Seller shall, at
Seller's sole expense, construct a currently unnamed street and
a adjacent sidewalk north of the Property, as drawn by seller and the
School District on the survey attached hereto as Exhibit "B".
Seller agrees to construct the street and sidewalk in a timely
manner so as not to delay access by the School District to the
.Property or delay the construction by the School district on the
Property of a school facility, which facility must be :completed by
July 1, 1995. In all events, Seller shall fully complete the
street and sidewalk no later than July 1, 1995.
2. Access to All Utility gervices_ Seller shall, at
Seller's sole expense, take all steps necessary to provide for
access to all utility 6ervices at the Property, including but not
limited to, access to electricity, water, gas, telephone, and
television cable. Seller shall bring such utilities to the street
curb and then under the sidewalk onto the Property to roughly the
point set out by Seller and the School District on the. survey
attached hereto as ~,hi~ bit "B"• Sellez agrees to provide access to
the utility services. on the Property in a timely manner, so ae not
to delay the School District's construction of a school facility on
the Property, which facility must be completed no latex than July
