banking corporation ("FAB") ,STANLEY . INVESTMENT COMPANY,a .Texascorporation ("Stanley")
and TACREAlTY, INC., a Texas corporation ("TAC"). FAB, Stanley and TACare sometimes
collectively referred to as the "la.ndowners" and each sometimes referred to as a "Landowner" .
C. TAC is tbe owner of certain real property (the "TACTract") in Brazos County,
Texas which is mare particularly described an ExhibitlC" attached hereto. and made a part hereo.f
(the FAB Tract, the Stanley Tract and the TACTractbeing sometimes collectively referred to as
the "Tracts" and each individually referred to as a "Tract").
D. The landowners desire to set forth their agreement regarding the construction,
maintenance and use.ofacommon access easement (the "Access.Easement")overand.across
certain real property (the "Easement Property") which ismoreparticl.Jlarlydescribed on Exhibit "0"
attached hereto andlllade a part hereof, which Easement Property is situated partly. on the F AS
Tract and partly. on' the Stanley Tract.

7. . Lien to Secure Obligations. Stanley hereby grants to FAB andtoTACa firstand
prior lien on theStanle.y Tract to secure the obligation of Stanley to pay (i) any Driveway Costs
and/orUtility Costs owed by Stanley to FAB and/or TAC with respect to the period.prior to the
DevelopmentDate,and(ii) the amounts owed by Stanley to FAB and/or TACpLlrsuant to
Paragraph 6 hereof. . Stanley agrees from time<to time, upon request, to execute and deliver to
FABand TAC · such additional instruments and agreements as . maybe reasonably. requested by
FAB orTAC to confirm such lien and the amount secured thereby.
9. No Outstanding Liens. FAB warrants and representsJoStanleyttlat the FAB Tract
is free and clear of all outstanding liens other than the lien for current ad valorem taxes on the
FAB Tract. Stanley warrants and represents to Stanley thatthe FAB TractJs free and clear of
aU outstanding liens other than the lien for current ad valorem taxes on theFAB Tract.

restrictions and agreements set forth hereiri shall run with the land. and shallinu.re to the benefit
of and be binding upon, all parties having any right, title or interestin and to the FAB Tract, the
Stanley Tract Qr the TACTract, or any part thereof, and their heirs, executors, successors, legal
representatives and" assigns, and all persons claiming under them.
11.. Breach Shall not Permit Termination.lt.is.expresslyagreed that no.breach of this
Agreement shallentitleFAB, Stanley or any Qwners of theFABTraqt or the Stanley Tract to
cancel, rescind or otherwise to terminate this Agreement, but such limitations shall not affect in
any manner, any other rights Qr remedies wl1ichsucl1party(s) may have hereunder by a reason
of any breach of this Agreement.

15. Left Turn. rAB, Stanley and TAC each agree not to consent to or support any
proposal by the City of College Station to eliminate any right which may exist from time to time
to turn left into the Driveway from th~southbound lanes of State Highway 6 (Texas Avenue).

be.in writing. and shall. be deemed delivered and . received upon . actual receipt or, if earlier and
whether or not actually received, upon deposit in a regularly maintained receptacle for the United

and provisions of this Agreement, and such other terms and provisions of this Asreement shall
conti nuei n fu II force and effect. Furthermore, in lieu of such illegal ,invalid or:l.Jnenforceable
provision, there shall be automaticaUyadded to this Agreementa provision a.!s'similar to the
invalid, illegal or unenforceable provision as may be possible and be legal, valid an~ enforceable.
22. Counterparts. This Agreement may be executed in one or more cOl.Joterparts, each
of which shall be deemed an original and all of which, taken together, shall constitute one and the
same instrument, regardless of whether or not the signatures of all of the parties mereto appear
on any single counterpart hereof.
23. Construction. Each party to this Agreement hashadtMe opportunity to have this
Agreement reviewed by legal counsel for such party; and the terms of this . Agreement shall be
interpreted without the application of any canon or Iule of construction requiring interpretation of
an agreement again.st the party drafting such agreement.

25. Entirety and Amendments, This Agreementernt:>odies the entire Agreement
between. the parties hereto with respect to the subject matter of this. Agreement and supersedes
all prior agreements and understandings, itany, relating to the subject matter of this Agreement.
This Agreement may be amended or supplemented only by written instrument executed after the
