DEED OF EXCHANGE OF EASEMENT
THE STATE OF TEXAS
COUNTY OF BRAZOS
This Deed of Exchange of Easement dated ~'L. ~, Iqe~ ,

1984 executed by and between DAVID GOWER d/b/a DAVID GOWER
CONSTRUCTIONCQMPANYand GORDON ZABEL, both of Brazos County,
Texas, is:
1. DAVID .GOWERd/b/a DAVID GOWER CONSTRUCTION COMPANY
and GORDON ZABEL covenant and agree that in t.his Deed of
Exchange of Easement the r~spective terms shall have the
following meanings in this Agreement:
A. "GOWER II shall refer to DAVID GOWER d/b/a DAVID
GOWER CONSTRUCTION COMPANY'.
B. "ZABEL" shall refer to GORDON ZABEL.
c. "ZABEL tract" shall refer to the following
described property:
All that certain lot, tract 'or~arcel of land lying and
being,situtated in Brazos County, Texas, and being Lot One
"An (l~) and One liB" (lB), Block Eighteen "A", (IE-A),
SOUTHWOOD VALLEY SECTION 4-B, according toresubdivision
plat appearing of record in the .Deed Records of Brazos
County, Texas.
D. "GOWER tractll shall refer to the following
described property:
All that certain lot, tract or parcel of land lying and
beingsituat.edinBrazos County, Texas, and being Lots Two
"All' (2A) and Two liB" (2B), .B~ock Eighteen "A" (18-A),
SOUTHWOOD VALLEY SECTION 4-B, according to resubdivision
plat appearing of record in the Deed Records of Brazos
County, Texas.
E. "Easement" shall refer to that certain strip or
parcel of land more particularly described by metes and bounds
in Exhibit nAn, attached hereto and made a part hereof for all
purposes'.
2. Forand in consideration of the premises and to
effect, in part, the exchange of properties of like kind, the
receipt of sufficiency of. which consideration are hereby
acknowledged and confessed, GOWER,. by these presents,. does

the Easement to the extent said
Easement lies on or across the 'GOWER tract.
The conveyance of
the Easement is made by GOWER and accepted by ZABEL.
TO HAVE AND TO HOLD the Easement, together with full and
free right and liberty for ZABEL, his tenants, servants,visi-
tors, invitees, licensees, heirs, legal representatives and
assigns, in common with all others having the like righ't, at
all times hereafter, with or without vehicles and goods of any
description, for all purposes connected with the use and enjoy-
rnent of the ZABEL tract, to pass and repass along the Easement
to the extent the Easement is situated on the GOWER tract.
By his acceptance hereof, ZABEL does he.reby COVENANT and
AGREE for himself and his heirs, legal representatives and
assigns, to keep said Easement free and .clear of obstructions
which might inhibit the ingress and egress of GOWER or GOWER'S
heirs, legal representatives, or assigns.
3. Forand.in consideration of the premises. and to
effect, in part, the exchange of properties of like kind, the
receipt of sufficiency of which consideration are hereby
acknowledged and confessed, ZABEL, by these presents, does
GRANT and . CONVEY unto GOWER, the' Easement to the extent said
Easement lies on or across the ZABEL tract. The conveyance of
the Easement is made by ZABEL and accepted by GOWER.
TO HAVE AND TO HOLD the Ea~ement, together with full and
free right and. libe'rty for GOWER, his tenants, servants, ''\7isi-
tors, invitees, licensees, heirs, legal representatives and
assigns,' in common with all. others having the like right, at
all times herea~ter~ with or without vehicles and goods of any

ment of the GOWER tract, to pass and repass along the Easement
to the extent the Easement is situated on the ZABEL tract.
. By his acceptance ,hereof, GOWER does hereby COVENANT and
AGREE for himself and his heirs, legal representatives and
to keep said Easement free and clear of obstructions

which might inhibit the ingress and egress of ZABEL or ZABEL'S
,assigns,
heirs, legal representatives, or assigns.
4. I.t is UNDERSTOOD and AGREED that GOWER, in consider-
ation of the premises and agreements contained herein shall
bear the sole expense of construction and improvement of the
Easement when such Easement is first constructed and improved,
and that thereafter, if maintenance improvements are required
to keep the Easement in passable condition, GOWER and ZABEL and
their respective heirs, legal representatives and assigns shall
bear the cost of such maintenance of the Easement.
In connec-
tion with the initial construction of the Easement, GOWER shall
have a temporary construction Easement to come upon the ZABEL
tract to the extent necessary for the proper construction of
the Easement, but upon completion of construction of the Ease-
ment, the temporary construction Easement shall terminate and
_ GOWER shall have no further rights to come upon the ZABEL tract
for any purposes.
5. All rights, privileges and obligations created by
this instrument shall inure to the benefit of and be binding
upon the respective heirs, legal representatives, and assigns
of the parties hereto. No sale or mortgage of the land herein
above described shall increase or change the rights and
obIigations o~ the parties hereto and any subsequent owner or
owners of said land shall be substituted for and in place of
the parties.hereto. It is UNDERSTOOD this is a conveyance of
rights to surface use only for the purpose of ingress and
egress for the private use of the parties hereto, their
tenants,. seryants, invitees,. and licensees, and their heirs,
legal representatives, and assigns.
Ownership of the oil, gas
or other minerals in and to both the GOWER tract .and the ZABEL
tracts
shall
rema~n
unaffected,

unchanged
by
