KNOW ALL MEN BY THESE PRESENTS that I, PHILLIP B.
GOODE
, of the State of Texas, County of Brazos, have
made, constituted and appointed," and by these presents do make,
constitute and appoint my agent

of Brazos County, Texas, my true and lawful attorney for me,
and in my name, place and stead, to do any and every act and
exercise any and every power that I might or could do or exer-
cise through any other person and that
he might deem proper
or advisable, intending hereby to vest in him a full and uni-
versal power of attorney. And I hereby specifically grant
unto my said attorney power to enter into and take possession
of all such lands, tenements, hereditaments and real estate
located in College Station, Brazos County, Texas, described as
follows:
5.66 acre tract, part of Block Four (4),
Harvey Hillsides Addition, Brazos
County, Texas.
to or in which I am or may be in any way entitled or interested,
to contract to sell and convey the same or any part thereof to
any grantee whomsoever, for such sum, on such terms, and with
such agreements as to he shall deem proper; to make, execute,
acknowledge and deliver good and sufficient conveyances for the
same upon any such consideration and with any such clauses,
covenants and agreements to be therein contained, as my said
attorney shall think fit and convenient; until the same shall
be sold, to demise, lease or let the said real estate to such
person or persons and for such rent as he may see fit; and to
do all things necessary or appropriate to get said land zoned
or re-zoned by the City of College Station, Texas, to
"
ask, demand, recover, collect and receive all sums of money
which shall become due and owing to me by means of any such sale,
conveyance or lease, to take all lawful means for the recovery
thereof, to compound and agree for the same and to execute and
deliver sufficient acquittances, releases and discharges therefor,
as well as of any lien or liens securing any obligation arising
in connection therewith, hereby giving and granting to said
attorney full power and authority to do and perform any and all
acts and things whatsoever requisite and necessary to be done in
and about the premises, as fully and to all intents and purposes,
as I might or could do if personally present, with full power of
substitution and revocation, hereby ratifying and confirming all
that said attorney or substitute shall lawfully do in the premises
by virtue hereof.
If this Power of Attorney appointment is recorded in
Brazos County, Texas, it shall remain in full force and effect
until the same is revoked by instrument filed in the County Clerk's
office of Brazos County, Texas.
It is my intention that should in the future, because
of advancing years and declining health, I become incompetent or
physically disabled that this Power of Attorney should continue in
effect until my death, regardless of my physical or mental
condition, in accordance with Texas Probate Code, Section 36A.

KNOW ALL MEN BY THESE PRESENTS that HARVEY HILLSIDES,
INC., an existing Texas Corporation, acting herein by its president,
WILLIAM G. ADKINS, pursuant to a resoluti.on of its Board of Directors
adopted at a duly convened and conducted meeting on the 17th day of June,
1977, and also pursuant to a plan of liquidation adopted by said Board
of Director s at a duly convened and conducted meeting on the 27th day of
August, 1976, and in cons ideration of the surrender and delivery to said
corporation of all shares in Harvey Hillsides, Inc., now owned and held
by PHILLIP B. GOODE, the receipt of which is hereby acknowledged
HAS GRANTED, SOLD AND CONVEYED and by these presents does
GRANT, SELL AND CONVEY unto the said PHILLIP B. GOODE of the
County of Brazos, State of Texas, all that certain tract or parcel of
land lying and being situated in the Maria Kegans Survey, Abstract No. 28
and being a part of Block 4, Harvey Hills ides Subdivis ion according to
the plat recorded in Volume 263, Page 484 of the Deed Records of
Brazos County, Texas and being more particularly described as follows:

BEGINNING at the iron rod set in the southeast r i~ht-
of-way line of State Highway No. 30, located N 45 03' 43" E
a distance of 1136.33 feet from the iron rod found marking
the intersection of the beforementioned southeast right-
of-way line of State Hi-ghway No. 30 with the northeast
right-of-way line of Linda Lane, same being the west corner
of the beforementioned Block 4;
THENCE N 45 degrees 03" 43" E along the beforementioned
southeast right-of-way line of State Highway No. 30 for a
distance of 568. 17 feet to an iron rod set for corner;
THENCE S 45 degrees 02' 45" E across the beforementioned
Block 4 for a distance of 411. 92 feet and corner, in the
southeast line of the said Block 4, same be ing the west
corner of Lot 10 Block 2, and north corner of Lot 12 Block 2;
THENCE S 41 degrees 30' 24" W along the beforementioned
southeast line of Block 4 for a distance of 285.49 feet and
corner, same being the west corner of Lot 12 Block 2, and
the north corner of Lot 14 Block 2;
THENCE S 37 8egrees 55" 41" W along the beforementioned
southeast line of Block 4 for a distance of 286.22 feet and corner;

THENCE N 44 degrees 56' 17" W across the beforementioned
Block 4 for a distance of 465. 17 feet to the PLA CE OF
BEGINNING containing 5.66 acres of land more or less,
as surveyed by B. J. Kling, Registered Public Surveyor,
June, 1977. Subject to easements of record, if any,
TO HAVE AND TO HOLD the above described premises, together with
all and singular the rights and appurtenances thereto in anywise belonging
unto the said grantee, his heirs and assigns forever, and HARVEY
HILLSIDES, INC., does hereby bind itself, its successors and assigns,
to Warrant and Forever Defend, all and singular, the said premises unto
the said Grantee, his heirs and assigns, against every person whomsoever
lawfully claiming or to claim the same or any part thereof.
