That I, WILLIAM D. FITCH

for and in consideration
of the sum of
TEN AND NO/lOO----------------($lO.OO)-----------------------DOLLARS
and other good and valuable consideration
to me paid, and secured to be paid, by
SOUTHWOOD VALLEY, inc.
as follows:
The further consideration being the execution and delivery by
Grantee herein of his one certain promissory note of even date
herewith in the principal sum! of Three Million Two Hundred Fifty
Thousand and No/lOO ($3,250,000.00) Dollars, payable to the order
of William D. Fitch at College station, Texas, and bearing interest
at the rate of Five (5%) per cent per annum, principal payable in
annual installments of $250,000.00 each, the first installment
being due and payable on or before the 20th day of December, 1974,
and a like installment to become due and payable on or before the
20th day of December of each succeeding year for a total of
eleven annual payments; the principal payment in the 12th year
shall be for $500,000.00 or the remainder of the unpaid balance
of the note. The interest is payable annually as it accrues.
Said note contains the ususal accelerated maturity, past due
interest and attorney-fee clauses, and being pdditionally secured
by a Deed of Trust of even date herewith executed by Grantee to
Travis B. Bryan, Jr., Trustee for the benefit of william D. Fitch,
and said Deed of Trust further provides for execution of partial
releases from the herein mentioned Vendor's lien to which Deed
of Trust reference is herein made for all purposes.

have Granted, Sold and Conveyed, and by these presents do Grant, Sell and Convey, unto the said
SOUTHWOOD VALLEY, inc.
of the County of BRAZOS State of TEXAS all that certain
tract or parcel of land lying and being situated in the Crawford Burnett
League and Robert Stevenson League in Brazos County, Texas, being all of
that 657 acre tract conveyed to William D. Fitch by deed dated February 1
1969 and recorded in Volume 310, Page 787 of the Deed Records of Brazos
County, Texas; SAVE AND EXCEp;r-a 2.37 acre parcel of land heretofore
conveyed to the City of Bryan, Texas, by deed dated January 26, 1972 and
recorded in Volume 301, Page 191 of the Deed Records of Brazos County,
Texas; the said tract herein conveyed being more accurately described
according to a recent survey on the ground by D. R. Mayo, licensed State
Land Surveyor, as follows: . .'
BEGINNING in the southwest right-of-way line of State Highway No. 6 at
the common corner of the said William D. Fitch 657 acre tract and that
166.6 acre tract retained by Roy W. Kelly and wife, and described in
deed from Roy W. Kelly and wife to C. M. R. Deacon and wife, recorded in
Volume 244, Page 43 of the Deed Records of Brazos County, Texas;
THENCE S 200 45' 02" W - 3076.73 feet along the line between the said
657/~r~~t and the said Kelly tract to an iron pipe at the most westerly
corner of the said Kelly 166.6 acre tract;
