If it is determined the prescribed erosion control measures are ineffective to retain all sediment onsite, it is the contractors responsibility to implement measures that will meet City, State and Federal requirements. The Owner and/or Contractor shall assure that all disturbed areas are sodden and establishment of vegetation occurs prior to removal of any silt fencing or hay bales used for temporary erosion control. The Owner and/or Contractor shall also insure that any disturbed vegetation be returned to its original condition, placement and state. The Owner and/or Contractor shall be responsible for any damage to adjacent properties, city streets or infrastructure due to heavy machinery and/or equipment as well as erosion, siltation or sedimentation resulting from the permitted work. In accordance with Chapter 13 of the Code of Ordinances of the City of College Station, measures shall be taken to insure that debris from construction, erosion, and sedimentation shall not be deposited in city streets, or existing drainage facilities. I hereby grant this permit for development of an area outside the special flood hazard area. All development shall be in accordance with the plans and specifications submitted to and approved by the City Engineer in the development permit application for the above named project and all of the codes and ordinances of the City of College Station that apply. W I T N E S S ET H: WHEREAS, DWS is the fee simple owner of that certain tract or parcel of land situated in the City of College Station, Brazos County, Texas, more particularly described as Lot Three (3), Barron Park Subdivision, according to plat recorded at Volume 939, Page 209, Official Records of Brazos County, Texas (hereinafter referred to as the "DWS/Formby Parcel"); and WHEREAS, CUMC is the fee simple owner of that certain tract or parcel of land situated in the City of College Station, Brazos County, Texas, more particularly described as Lot Two (2), Barron Park Subdivision, in College Station, Brazos County, Texas, according to plat filed in Volume 939, Page 209, Official Records of Brazos County, Texas (hereinafter referred to as the "CUMC Parcel"); and WHEREAS, CUMC and DWS/Formby each desire to grant to the other certain easements shown on the survey plat for the access easement, which is attached hereto and incorporated herein as Exhibit "A" (the "Site Plan") and to impose certain restrictive covenants as hereinafter set forth . NOW, THEREFORE, for and in consideration of the sum of Ten and No/100 Dollars ($10.00), the mutual benefits accruing to the parties hereto, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the following grants, agreements, covenants, and restrictions are hereby made by and between the parties. 1. Access Easement on CUMC Parcel. CUMC does hereby grant, bargain, sell, and convey to DWS/Formby and all future fee simple owners of the DWS/Formby Parcel, for the benefit of the DWS/Formby Parcel, a perpetual and non-exclusive easement on, over, and across the portion of the CUMC Parcel as more particularly described on Exhibit "B" attached hereto and made a part hereof for all purposes, and as designated on the Site Plan as the "Easement No. 1" for vehicular and pedestrian ingress, egress, and access to, from, and between the DWS/Formby Parcel, the CUMC Parcel, and State Highway No. 6. DWS/Formby's use of such easement shall not be exclusive, but shall be in common with CUMC and CUMC's successors, assigns, invitees, licensees, tenants, agents, employees, and such other and further grants of easements, licenses, and rights over and across the CUMC Access Easement Area as may from time to time exist. DWS/Formby covenants and agrees that its exercise of the easements described herein shall not result in damage or injury to any buildings or other improvements, if any, located on the CUMC Parcel, and shall &ciprocal Easement Agrument Page J not unreasonably interfere with or interrupt the business operation conducted by any other party on the CUMC Parcel or the use of any portion of the CUMC Parcel by any other party. DWS/Formby, at its sole cost and expense, shall promptly repair, replace or restore any and all improvements on the CUMC Parcel which have been damaged or destroyed in the exercise by DWS/Formby of the access easement granted under this Section 1 and shall defend, indemnify, and hold CUMC harmless from and against all liens, losses, liabilities, costs or expenses (including reasonable attorneys' fees) incurred in connection with or arising out of DWS/Formby's exercise of such access easement, except to the extent occasioned by the negligent or wrongful act or omission to act of CUMC or any successor, assign, invitee, licensee, tenant, agent or employee of CUMC. 2. Access Easement on DWS/Fonnby Parcel. DWS/Formby does hereby grant, bargain, sell, and convey to CUMC and all future fee simple owners of the CUMC Parcel for the benefit of the CUMC Parcel, a perpetual and non-exclusive easement on, over, and across the portion of the DWS/Formby Parcel as more particularly described above as the DWS/Formby Access Easement No. 2 as described on Exhibit "C", which is attached hereto and incorporated herein for all purposes, for vehicular and pedestrian ingress, egress, and access to, from, and between the CUMC Parcel, the DWS/Formby Parcel, and State Highway No. 6. CUMC's use of such easements granted above shall not be exclusive, but shall be in common with DWS/Formby and DWS/Formby's successors, assigns, invitees, licensees, tenants, agents, employees, and such other and further grantees of easements, licenses, and rights over and across the easement areas described above as my from time to time exist CUMC covenants and agrees that its exercise of the easements described herein shall not result in damage or injury to any buildings or other improvements, if any, located on the DWS/Formby Parcel, and shall not unreasonably interfere with or interrupt the business operation conducted by any other party on the DWS/Formby Parcel or the use of any portion of the DWS/Formby Parcel by any other party. CUMC shall promptly repair, replace or restore any and all improvements located on the DWS/Formby Parcel which have been damaged or destroyed in the exercise by CUMC of any of the easements granted under this Agreement and shall defend, indemnify, and hold DWS/Formby harmless from and against all liens, tosses, liabilities, costs or expenses (including reasonable attorneys' fees) incurred in connection with or arising out of CUMC's exercise of such easements, except to the extent occasioned by the negligent or wrongful act or omission to act of DWS/Formby or any successor, assigns, invitee, licensee, tenant, agent or employee of DWS/Formby. 3. Construction of Easement. Within twelve (12) months of the execution of this Agreement, CUMC shall commence construction of the road bed and pavement on the easement described and shown in Exhibit "A• and described in Exhibits "B" and "C" herein according to the following terms and conditions: (a) CUMC shall obtain a bid for construction of the easement, and if the bid for construction of the easement exceeds Seventy-Six Thousand Five Hundred Twenty Five Dollars ($76,525.00), either CUMC or DWS/Formby can elect to seek additional bids for the project; Reciprocal Easement Agreement Page2 (b) the easement shall be of concrete construction and shall be built to City of College Station standards and specifications for construction of similar easements; (c) construction shall be as set out herein and in accordance with the plans and specifications established for the project by Rabon Metcalf Engineering, Inc., of College Station, Texas; (d) within thirty (30) days after completion of construction by CUMC, and after obtaining and submitting bills paid affidavits and lien waivers from all contractors involved in the construction of the easement to DWS/Formby, DWS/Formby shall pay to CUMC sums equaling sixty percent (60%) of the total cost of construction of the easement. (e) in the event that CUMC does not commence construction of the easement within twelve (12) months, DWS/Formby shall be entitled to construct the easement according to the terms and conditions set out in this agreement. CUMC shall then reimburse DWS/Formby as set out in 3(d) above. 4. Operation of Access Easement Areas. Each of the parties hereto agree that: (a) Other than (i) reasonable speed control devices and (ii) any improvements and/or barriers necessary (1) for reasonable repair and maintenance, traffic regulations and control or (2) to prevent a dedication thereof or the accrual of any prescriptive rights to any person therein, no party shall construct or place any improvements, barriers or trees within the access easement areas described in this Agreement (collectively, the "Access Easement Areas") which would inhibit the free flow of pedestrian and vehicular traffic across the Access Easement Areas. (b) Each party shall maintain the portion of the Access Easement Areas located on its respective Pa.reel in keeping such Access Easement Areas reasonably free of snow, ice and other debris. (c) Each party is required to keep the easement in good condition. Each party shall pay fifty percent (50%) of the cost of ordinary maintenance and repair of the easement. Before any repairs or maintenance are commenced in the easement, the party initiating such repairs or maintenance shall communicate with the other party regarding the cost of such repairs and maintenance. If either party disagrees with the estimated cost of such repairs or maintenance, that party shall have fifteen (15) days to get additional bids for such work, after Which time construction shall commence using the lower bid price provided the quality of construction in each bid is the same. (d) CUMC and DWS/Formby shall be entitled to access the easement by curb cuts and other points of access that are in compliance with the code and specifications of the City of College Station, Texas, for street access. (e) Notwithstanding anything herein to the contrary, if either CUMC or DWS/Formby, or their successors in interest, operate any business or businesses on the subject property or allow any other entity to operate a business or businesses on their Reciprocal Easement Agreement Page3 property which causes the easement to be used more frequently by heavier vehicles thereby causing damage to the easement and a need for more frequent than normal repair of the easement, the party hereto which has allowed or permitted the source of the increased use, shall thereafter pay two-thirds (2/3rds) of the cost of any further maintenance and repair of the easement. The other party's share of the cost of repair and maintenance of the easement shall be thereafter reduced to one-third (1/3rd) of the total cost. 5. Default. If there is a failure by either party to perform, fulfill or observe any covenant contained within this Agreement which continues beyond the Cure Period (hereinafter defined), the non-defaulting party may, at its option, cure such failure or breach on behalf of the defaulting party. As used in this paragraph, "Cure Period" shall mean thirty (30) days after written notice to the defaulting party specifying such failure; provided, however, if such failure cannot reasonably be cured within thirty (30) days, the defaulting party shall be entitled to a reasonable time within which to cure such failure so long as the defaulting party commences to cure same within such thirty (30) day period and diligently completes such cure in all events not later than ninety (90) days following receipt of written notice of such default. Any reasonable amount which the non-defaulting party shall expend for the purpose of curing the failure or breach of the defaulting party shall be paid by the defaulting party to the non-defaulting party, within thirty (30) days of delivery of its invoice together with interest at the less of (i) the rate of eight percent (8%) per annum, or (ii) the maximum non-usurious rate of interest allowed by applicable law, from the date of the expenditure to the date of payment in full. 6. Notices. All notices, demands, and requests which may be given or which are required to be given by either party to the other shall be in writing and shall be given by being either: (i) sent, by certified or registered mail,. return receipt requested, addressed.to the intended recipient at the address specified on the signature pages hereof; (ii) delivered in person to the address set forth on the signature page hereof for the party to whom the notice was given; or (iii) deposited into the custody of a nationally recognized overnight delivery service such as Federal Express, addressed to such party at the address specified on the signature page hereof. Notices shall be effective on the date of delivery or receipt, or if delivery is not accepted, on the earlier of (a) the date that delivery is refused or (b) three (3) days after the notice is mailed by certified or registered mail or one (1) day after the notice is deposited into the custody of such overnight delivery service. For ·purposes hereof, the addresses of the parties for all notices are as set forth on the signature pages hereof (unless changed by similar notice in writing given by the particular person whose address is to be changed). 7. Remedies. No breach of this Agreement shall entitle either party to cancel, rescind, or othelWise terminate the easements granted herein, but such limitation shall not affect, in any manner, any other rights or remedies which the parties may have hereunder by reason of any breach of this Agreement. 8. Further Assurances. Each of the parties agrees to cooperate with each other in good faith in connection with the development, operation, and maintenance of the Parcels, and agrees to execute and deliver any additional documents and instruments and Reciprocal Easement Agreemeni Page4 to perform any additional acts necessary or appropriate to perform the terms, provisions, and conditions of this Agreement and all transactions contemplated by this Agreement. 9. No Dedication. Nothing herein contained shall be deemed to be a gift or dedication of any portion of the easements granted herein to the general public or for any public purpose whatsoever, it being the intention of the parties that this Agreement shall be strictly limited to and for the purposes herein expressed. 10. Non-Recourse. There shall be no personal liability on the part of any party, or any shareholder, officer, director, or agent of any party, for their performance of any obligations hereunder. 11. Duration and Binding Effect. Except as otherwise provided herein, the easements and restrictions created by this Agreement are intended to be perpetual unless this Agreement is modified, amended, canceled or tenninated by the written consent of all of the then record owners of the DWS/Fonnby Parcel and all of the then record owners of the CUMC Parcel. All provisions of this instrument, including the benefits and burdens, shall run with the land and be binding upon and inure to the benefit of the heirs, personal representatives, successors, and assigns of the parties hereto. 12. Amendments. This Agreement may only be amended by an instrument signed by all of the then record fee simple owners of the DWS/Fonnby Parcel and all of the then record fee simple owners of the CUMC Parcel. Any termination or amendment of this Agreement must be properly recorded. 13. Matters of Record. The easements granted herein are subject to all existing covenants, agreements, easements, encumbrances, and restrictions of record and any facts which an accurate survey would show. 14. Section Headings. Section headings, where used herein, are inserted for convenience only and are not intended to be a part of this Agreement or in any way to define, limit or describe the particular sections to which they refer. 15. Invalidation. If any provision of this Agreement is held to be invalid by any court, the invalidity of such provision shall not affect the validity of the remaining provisions hereof, and all remaining provisions shall continue unimpaired, in full force and effect. 16. Applicable Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. 17. No Partcing Easements. Nothing contained in this Agreement shall be deemed to create any cross par1cing or reciprocal parking easements or rights between the Parcels. 18. Counterparts. This Agreement may be executed in any number of counterparts with the same effect as if alt signatories had signed the same document. AU counterparts will be construed together and will constitute one and th same instrument.
