Dear Alan
We are providing this letter and the funds pursuant to the November 19, 2012 of Chuck Ellison,
see copy attached. Enclosed herewith is a check payable from Brazos County Abstract
Company Escrow Account in the amount of $86,564.15 submitted on behalf of College Station
MarketPlace, LP ("CSMP"). This sum represents submission to the City of the probable cost of
constructing the traffic mitigation work for Phases 1, 2, and 3A described in the letter of Walter
P. Moore dated March 8, 2012 ("Mitigation Work") per the preliminary opinions of probable costs
dated January 10, 2013 (Arrington Road Deceleration Lane #2) and August 28, 2012 which are
enclosed. In the event the Mitigation Work is not constructed within one (1) year after the date
of this letter, the City is authorized: (a) to use the money submitted to complete the Mitigation
Work without any consent from CSMP; and (b) to enter on to property owned by CSMP in order
to complete the Mitigation Work.
Per paragraph 5 of the enclosed letter, we request that you provide the letter described in that
paragraph to Primrose School Franchising Company and its franchisee, HIS Real Properties,
LLC, 3007 Coronado Drive, College Station, TX 77845,

Dear Alan:
This letter will memorialize our discussions concerning the traffic mitigation efforts required by
the letter of Walter P Moore dated March 8, 2012 ("Mitigation Letter") for Phase 12 of Tower
Point Development and the development of Lot 1, Block 2, Phase 12 ("Lot 1") by Primrose
Schools ("Primrose"). Primrose Schools is under contract to purchase Lot 1 but will not commit
to purchase Lot 1 unless they can be assured that the completion of the traffic mitigation efforts
required for Phase 12 will not delay or be a condition to their final certificate of occupancy.
College Station MarketPlace, LP ("CSMP") does not wish to expend the resources to complete
the Phase 12 traffic mitigation effort until Primrose is committed to purchase Lot 1.
We discussed the following course of action to address these issues:
1. Kling Engineering has been engaged by CSMP to design the traffic mitigation work for
Phases 1, 2 and 3A described in the Mitigation Letter. Kling Engineering prepared the
plans for the Hwy 6 frontage road deceleration land and, on August 27, 2012, submitted
those plans to the City of College Station for review and submission to TXDOT. It is our
understanding that the plans have been approved by the local TXDOT office and are on
the agenda for the December 131h meeting in Austin. In addition, Kling Engineering
submitted the plans for the balance of the mitigation work for Phases 1, 2 and 3A to the
City of College Station on September 26, 2012.
2. CSMP will submit an engineer's estimate for the cost of the Phase 1 through 3A traffic
mitigation work.
3. CSMP will deposit with the City of College Station funds equal such the engineer's
estimate of cost, along with a letter (a) indicating that if the Phase 1 through 3A traffic
mitigation work is not completed within one year from the date of the letter, the City of
