limited partnership (the "PartnemhlP7, does hereby certify that (I) the Company Is duly organized and
existing under the laws of the State of Taxes: that all franchise and other loxes required to maintain Its
company existence have bean gpold when due and that no ouch taxes are delinquent that no proceedings
are pending for the foAftwo of'its Certificate of Formation or for ite dissolution, voluntarl or Involuntarily;
that thereto no provision of the Card kale of Formation or Company Agreement of the or

the power of the Members to pass the resolutions not forth below; and Is authorized to do business in the

owner of certain real property being an undivided Interest In 361,190 square feet of land at fits
Irderoaclion of State Highwayy 6 and Rock Pratdo Drive, being a portion of Lot 1, Block 1, Rock
Prairie Marketplace, a subdly s(on to the City of College Station, Texas (the "Praperty); and
WHEREAS, WEINGARTENIINVESTMENTS, INC. is developing the Property; and
WHEREAS, the Company an general partner of ROCK PRAIRIE DEVELOPMENT, LTD„
has agreed to authorize DAVID W. SCARMARDO as Preeldenl of the Company to execute
any and applications and requests related to the development of the Property and (Iq any and all
easement documents necessary or Convenient for the development of the Property.
NOW, THEREFORE,13E 17 RESOLVED, that DAVID W. SCARMARDO, as the President of the
Company no General Fanner of the Partnership, authorizes and directs DAVID W,
SCARMARDO to execute ()) anyand applications and requests related to the development of the
Property and (11) any and all plats and easement documents nooaesmy or convenient for the
development of the Property, on behalf and to the name of the Company a$ General Partner of
the Partnership;
RE -SOLVED FURTHER, that the Company to directed to certify the Minutes of this meeting and
the contents of these resolutions and to dolNer ouch certification In support of the authority to act
on behalf of the Company es General Padnerfor the partnership.
