AGREEMENT FOR TRANSFER AND SALE
OF LIMITED PARTNERSHIP INTEREST
THIS AGREEMENT FOR TRANSFER AND SALE OF LIMITED PARTNERSHIP
INTEREST (the "Purchase Agreement") is entered into effective the 4th day of May, 2008, by
and between J. ALLEN INVESTMENTS, INC. referred to herein as the "Seller"), and Glenn
Deadman, Trustee, referred to herein as the "Purchaser."
WITNESSETH:
WHEREAS, Seller owns a general partner ownership interest in South New Braunfels
47, Ltd. (the "Partnership"); and
WHEREAS, Seller desires to transfer and sell all of its right title and interest in and to
the Partnership; and
WHEREAS, Purchaser desires to purchase and accept the transfer of all of Seller's right
title and interest in and to the Partnership;
WIIEREAS, Seller further desires to resign any office or other status with the
Partnership including its resignation as a general partner of the Partnership; and
WHEREAS, the parties hereto desire to give their consent to the transfer, purchase and
sale of all of Seller's right, title and interest in and to the Partnership and to Seller's resignation
as a General Partner of the Partnership pursuant to the Partnership's Limited Partnership
Agreement;
NOW, THEREFORE, for good and valuable consideration as stated herein, the receipt
and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
I. Sale and Purchase of Interest in the Partnership. Seller, for good and valuable
consideration the receipt and sufficiency of which is hereby acknowledged and confessed, does
hereby SELL, TRANSFER, ASSIGN, CONVEY and DELIVER unto the Purchaser all of its
right, title, and interest in and to the Partnership.
Purchaser hereby accepts such sale, transfer, conveyance, and assignment from the Seller
of all of Seller's right, title and interest in and to any and all interest in the Partnership.
Furthermore, by execution and delivery of this Purchase Agreement by the Seller and the
acceptance thereof by the Purchaser, the Purchaser expressly assumes all obligations of Seller to
the extent of the Interest sold and transferred pursuant to the terms of this Purchase Agreement,
and accepts and agrees to be bound by all of the terms and provisions of the Limited Partnership
Agreement of the Partnership.
2. Purchase Price. Subject to the terms, provisions and conditions set forth in this
Purchase Agreement, and in consideration of the sale, transfer, assignment, conveyance and
delivery of the Interest in the Partnership described in Section 1 of this Purchase Agreement,
Purchaser hereby agrees to accept good and valuable consideration herewith tendered by
Purchaser and received and accepted by Buyer, the sufficiency of with is agreed to by both
parties.
3. Consent to Sale by Execution. The parties hereto, by their execution below,
hereby acknowledge that this Purchase Agreement serves as notice of transfer of all interests in
the Partnership, and hereby consent to the foregoing sale of any such interest.
4. Binding Effect. This Purchase Agreement shall be binding upon and inure to the
benefit of the parties hereto and their respective heirs, executors, administrators, legal
representatives, and assigns where permitted.
5. Continuation of the Partnership. No part of this Purchase Agreement shall be
construed either as a dissolution or termination of the Partnership
6. Other Documents. The Seller covenants and agrees with the Purchaser, and its
successors and assigns, to execute and deliver such other and further documents as necessary in
order to completely vest in the Purchaser, all future benefits and estates accruing to the
Partnership interest hereby being conveyed.
7. Representations and Warranties of the Seller. Seller hereby represents and
warrants to Purchaser as follows:
(a) The interest in the Partnership being sold pursuant hereto is free from any
lien, encumbrance, claim, security interest or interest of any third party of any kind
whatsoever;
(b) Seller is the legal and equitable owners and holder of the interest in the
Partnership being sold hereunder and has the unrestricted right to transfer such interest in
the Partnership to the Purchaser;
(c) This Purchase Agreement constitutes a valid and binding obligation of the
Seller, enforceable in accordance with its terms;
(d) Seller is voluntarily selling the interest in the Partnership to the Purchaser;
and
(e) Seller has not received or relied on any representations from the
Purchaser not contained herein.
8. Seller's Capacity. Seller has the full right, power, legal capacity and authority to
enter into this Purchase Agreement, and to sell, transfer, assign, convey and deliver the interests
in the Partnership to the Purchaser, in accordance with the terms, provisions and conditions of
this Purchase Agreement.

13. Purchaser's Capacity. Purchaser has the full right, power, legal capacity and
authority to make and enter into this Purchase Agreement, and said Purchase Agreement does
not and will not conflict with any other agreement made by Purchaser as of the date hereof.
14. Multiple Counterparts. This Purchase Agreement may be executed in multiple
counterparts and by facsimile transmission, each of which for all purposes is to be deemed an
original, and all of which constitute, collectively, one (1)Purchase Agreement.
15. Governing Law. THIS PURCHASE AGREEMENT SHALL BE GOVERNED
BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF TEXAS.
16. Successors and Assigns. The terms, provisions and conditions of this Purchase
Agreement shall inure to the benefit of the parties hereto and their respective legal
representatives, successors, assigns, trustees and executors, except as limited by the terms hereof.
IN WITNESS WHEREOF, Seller and Purchaser, being both of the General Partners of the
Partnership have executed this Purchase Agreement to be effective as of the date first written
above.
