THIS DECLARATION OF EASEMENTS FOR ACCESS,PARKING AND UTILITIES
(this "Declaration")is made as of the 2.6thday of April,2007,by DELMAR BARONHEAD I,
LTD.,a Texas limited partnership("Declarant"). CN O� v

WHEREAS,Declarant owns approximately 11.78 acres of land situated in College Station, \rL\" s 4.144
Brazos County, Texas (the "Shopping Center"), as more particularly described on Exhibit "A" \n\creNia,
attached hereto and made a part hereof;and a `"'N

WHEREAS,the Shopping Center may hereafter be divided into two or more tracts,one or
more of which maybe sold and conveyed to other person(s)(such tracts being hereinafterreferred to
as individually as a"Parcel"and collectively as the"Parcels");and
WHEREAS,in order to provide for the orderly development and operation of the Shopping
Center, Declarant wishes to establish certain easements on, over and across each Parcel for the
benefit of the other Parcels;
NOW,THEREFORE,Declarant does hereby designate and establish the easements described
herein and the covenants set forth herein for the benefit of the owners of the Parcels and their
respective successors and assigns,to wit:
1. Access Easements. Declarant does hereby grant to the owners of the Parcels and each
of them,a free,continuous and non-exclusive easement for purposes of ingress,egress,access,and
vehicular and pedestrian traffic on,over and across the entrances,exits,access ways,drive aisles,
service drives and walkways located on each of the Parcels,as the same may exist from time to time.
2. Parking Easements. Declarant does hereby grant to the owners of the Parcels and
each of them,a free,continuous and non-exclusive easement for purposes of vehicular parking on
the parking areas located on each of the Parcels,as the same may exist from time to time.
3. Utility Easements.
(a) Declarant does hereby grant to the owners of the Parcels and each of them,
free, continuous and non-exclusive easements(collectively, the "Utility Easements") on,
over, across, and under the common areas located on each Parcel for construction,
installation, maintenance, removal, use, and replacement of utility lines, subject to
subparagraph(b)below. As used herein,„common areas”means those areas of each Parcel
which are not occupied or intended to be occupied by buildings, including, without
limitation, the parking areas, entrances, exits, access ways, drive aisles, service drives,
walkways and landscaped areas located on each Parcel.

(b) To the maximum extent possible,the owner of each Parcel shall use existing
utility lines within existing public utility easements, and shall route any additional utility
lines from an adjoining public right of way and/or Through existing public utility easements
within the Shopping Center. To the extent such public utility easements are not available or
the use of same is not feasible or adequate for an owner's intended development,all utility
lines traversing another owner's Parcel must be located within the Utility Easements,and
underground unless otherwise required by law or a particular utility company. No Utility
Easement may be used in any manner that would materially interfere with the normal
operation of any business being conducted on the burdened Parcel.Notwithstanding the
foregoing,incidental surface structures such as telephone pedestals and power transformers
may be installed above ground. Any utility line or equipment which must be located above
ground must be placed so as to minimize interference with the use of the common areas on
any Parcel.
4. Benefit. The easements granted herein run with the land and are appurtenant to each
of the Parcels benefitted thereby. The easements are intended to benefit Declarant,its successors and
assigns, and the owners of the Parcels and their respective heirs, successors and assigns. No
easement may be transferred,assigned or encumbered except as appurtenant to a Parcel or Parcels.
The easements are non-exclusive, and Declarant reserves and retains the right to grant similar
easements to such other persons as Declarant may deem proper(so long as the rights granted herein
are not thereby materially impaired)in connection with the development of the Shopping Center.
5. Perpetual Easements. To the maximum extent permitted by law, the easements
granted herein shall be perpetual. The owner of each Parcel and his heirs,successors and assigns are
and shall be bound to warrant and forever defend the easements granted herein to each other owner
• of a Parcel and his heirs,successors and assigns,against every person lawfully claiming or to claim
the same or any part thereof by,through or under such owner,but not otherwise.
6. Binding Effect. This Declaration is binding upon and shall inure to the benefit of and
be enforceable by Declarant and its successors and assigns, the owners of the Parcels and their
respective heirs,successors and assigns. Notwithstanding the foregoing,any such person shall be
bound by this Declaration only during the period such person owns an interest in any Parcel or
portion thereof,and any such liability shall terminate with regard to future events as of the date of the
bona fide conveyance by an owner of the entirety of its ownership in all Parcels.
7. No Dedication. Nothing contained herein shall be deemed a gift or dedication of any
portion of the Shopping Center to the general public,or for any public purposes whatsoever,it being
Declarant's intention that this Declaration shall be strictly limited to and for the purposes herein
expressed.
8. No Merger. In the event that fee simple title to the entire Shopping Center should at
any time hereafter become vested in one person or entity,the easements granted herein shall not be

extinguished thereby,it being Declarant's intentionthat this Declaration shall remain in full force and
effect notwithstanding any such merger of fee simple estates,
9. Amendment. This Declaration may not be amended,supplemented,or modified in
any respect whatsoever,or terminated in whole orinpart,except by written instrument duly executed
and acknowledged by all of the then record owners of fee simple title to the Shopping Center.
10. Severability. If any provision of this Declaration shall be held invalid, illegal or
otherwise unenforceable for any reason,the remaining provisions of this Declaration shall continue
to be in full force and effect and shall not be affected thereby.
11. Headings. The titles,headings and captions which have been used in this Declaration
are for convenience only and shall not be used in construing this Declaration.
12. Applicable Law. This Declaration shall be governed by the laws of the State of
Texas.

date first set forth above.
